THE LEGAL AGREEMENTS SET OUT BELOW GOVERN YOUR USE OF THE INTERACT MARKETPLACE AND RELATED SERVICES. TO AGREE TO THESE TERMS, CLICK \"AGREE.\" IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK \"AGREE,\" AND DO NOT USE THE SERVICES.
A. INTERACT MARKETPLACE TERMS OF SALE
Payments, Taxes, and Refund Policy
The Interact Marketplace services (\"Services\") accept these forms of payment:
• Payments through your PayPal account
Where this Agreement references forms of payment not listed above, such references are to be construed for information only with no material impact on the Agreement save for the option, at Erideon's sole discretion, to add such form of payment into the list at a future date.
Forms of payment may be revised by Erideon from time to time at its sole discretion and without prior announcement. If a credit card or your PayPal account is being used for a transaction, Erideon may obtain preapproval for an amount up to the amount of the order. Billing occurs at the time of or shortly after your transaction. If you are using your PayPal account, your order may be authorized and billed in increments during one purchasing session, so it may appear as multiple orders on your statement. If other forms of payment, which may be added by Erideon from time to time, are used for a transaction, the amount is deducted at the time of your transaction. When making purchases, Erideon may, at its sole discretion, determine the order in which payment methods are applied; your credit card or PayPal account is then charged for any remaining balance.
You agree that you will pay for all products you purchase through the Services, and that Erideon may charge your credit card or PayPal account for any products purchased and for any additional amounts(including any taxes and late fees, as applicable) that may be accrued by or in connection with your Account. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING ERIDEON WITH A VALID CREDIT CARD OR PAYPAL ACCOUNT DETAILS FOR PAYMENT OF ALL FEES. All fees will be billed to the credit card or PayPal account you designate during the registration process. If you want to designate a different credit card or if there is a change in your credit card or PayPal account status, you must change your information online in the Account Information section of Interact Marketplace; this may temporarily disrupt your access to the Services while Erideon verifies your new payment information.
Your total price will include the price of the product plus any applicable sales tax; such sales tax is based on the bill-to address and the sales tax rate in effect at the time you download the product. We will charge tax only in regions where digital goods are taxable. Taxability assessment is based entirely and exclusively on the laws of the Republic of Singapore, being the domicile of Interact Marketplace.
All sales and rentals of products are final.
Prices for products offered via the Services may change at any time, and the Services do not provide price protection or refunds in the event of a price reduction or promotional offering.
If a product becomes unavailable following a transaction but prior to download, your sole remedy is a refund. If technical problems prevent or unreasonably delay delivery of your product, your exclusive and sole remedy is either replacement or refund of the price paid, as determined by Erideon.
Gift Certificates, Gift Cards, Allowances, and Content Codes
Gift Certificates, Gift Cards, and Allowances are issued and managed by Erideon Value Services Private Limited (\"Issuer\").
Gift Certificates, Gift Cards, Content Codes, and Allowances, in addition to unused balances, are not redeemable for cash and cannot be returned for a cash refund (except as required by law); exchanged; resold; used to purchase Gifts, Gift Certificates, or Gift Cards; used to provide Allowances. Unused balances are not transferable.
Gift Certificates, Gift Cards, Content Codes, and Allowances may be redeemed through the Services only in the country of purchase, or as otherwise determined by Erideon at its sole discretion.
The Gift Certificate/Gift Card cash value is 1/10 of one cent.
Neither Issuer nor Erideon is responsible for lost or stolen Gift Certificates, Gift Cards, Content Codes, or Allowances.
Erideon reserves the right to close accounts and request alternative forms of payment if a Gift Certificate, Gift Card, Content Code, or Allowance is fraudulently obtained or used on the Service.
ERIDEON, ISSUER, AND THEIR LICENSEES, AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CERTIFICATES, GIFT CARDS, CONTENT CODES, ALLOWANCES, OR THE INTERACT MARKETPLACE, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT THAT A GIFT CERTIFICATE, GIFT CARD, CONTENT CODE, OR ALLOWANCE IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH GIFT CERTIFICATE, GIFT CARD, CONTENT CODE, OR ALLOWANCE. THESE LIMITATIONS MAY NOT APPLY TO YOU. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY ALSO HAVE ADDITIONAL RIGHTS.
Risk of loss and title for Gift Certificates, Gift Cards, and Allowances transmitted electronically pass to the purchaser in the Republic of Singapore upon electronic transmission to the recipient. Risk of loss and title for Content Codes transmitted electronically pass to the purchaser in Republic of Singapore upon electronic transmission to the recipient.
Gifts
Gifts purchased from the Services may be purchased only for, and redeemed only by, persons in the Republic of Singapore. Gift recipients must have compatible hardware and parental control settings to utilize some gifts.
Pre-Orders
By pre-ordering products, you are authorizing the Services to automatically charge your account and download the product when it becomes available. You may cancel your pre-order prior to the time the item becomes available.
Electronic Contracting
Your use of the Services includes the ability to enter into agreements and/or to make transactions electronically. YOU ACKNOWLEDGE THAT YOUR ELECTRONIC SUBMISSIONS CONSTITUTE YOUR AGREEMENT AND INTENT TO BE BOUND BY AND TO PAY FOR SUCH AGREEMENTS AND TRANSACTIONS. YOUR AGREEMENT AND INTENT TO BE BOUND BY ELECTRONIC SUBMISSIONS APPLIES TO ALL RECORDS RELATING TO ALL TRANSACTIONS YOU ENTER INTO ON THIS SITE, INCLUDING NOTICES OF CANCELLATION, POLICIES, CONTRACTS, AND APPLICATIONS. In order to access and retain your electronic records, you may be required to have certain hardware and software, which are your sole responsibility.
Erideon is not responsible for typographic errors.
B. INTERACT MARKETPLACE TERMS AND CONDITIONS
THIS LEGAL AGREEMENT BETWEEN YOU AND ERIDEON PRIVATE LIMITED (\"ERIDEON\") GOVERNS YOUR USE OF THE INTERACT MARKETPLACE SERVICE (THE \"SERVICE\").
The Interact Marketplace Service
Erideon is the provider of the Service, which permits you to purchase or rent digital content (\"Products\") for end user use only under the terms and conditions set forth in this Agreement.
Requirements for Use of the Service
This Service is available for individuals aged 18years or older.
The Service is available to you only in the locations designated during sign-up process. You agree not to use or attempt to use the Service from outside these locations. Erideon may use technologies to verify your compliance. List of available locations may change from time to time, without prior notice. Where locations have been removed, pre-arranged Services will continue until the next rollover date.
Use of the Service requires compatible devices, Internet access, and certain software (fees may apply); may require periodic updates; and may be affected by the performance of these factors. High-speed Internet access is strongly recommended for regular use and may be mandatory for certain applications or services. The latest version of the Interact Marketplace is recommended to access the Service and may be required for certain transactions or features and to download Products previously purchased from the Service. You agree that these requirements, which may change from time to time, are your responsibility. The Service is not part of any other product or offering, and no purchase or obtaining of any other product shall be construed to representor guarantee you access to the Service.
Your Account
As a registered user of the Service, you may establish an account (\"Account\"). Don't reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify Erideon of any security breach of your Account. Erideon shall not be responsible for any losses arising out of the unauthorized use of your Account.
You agree to provide accurate and complete information when you register with, and as you use, the Service (\"Registration Data\"), and you agree to update your Registration Data to keep it accurate and complete. You agree that Erideon may store and use the Registration Data you provide for use in maintaining and billing fees to your Account.
Privacy
Except as otherwise stated in this Agreement, the Service is subject to Erideon's Privacy Policy at http://www.erideon.com/.
When you use Interact Marketplace, Erideon will, from time to time, automatically collect information that can be used to identify use of and applications in your Interact Marketplace library. This includes applications purchased through Interact Marketplace as well as Interact applications obtained from other sources. This information will be stored anonymously and not associated with your name or Account. Erideon will use this information, as well as other information, to give personalized recommendations to you.
Erideon may only use this information and combine it with aggregated information from the Interact Marketplace libraries of other users who also opt in to this feature, your Interact Marketplace purchase history data, aggregated purchase history data from other Interact Marketplace users, and other information obtained from third parties, to:
• Create personalized experience for you from your Interact Marketplace library.
• Provide you with recommendations regarding applications and other products and services that you may wish to purchase.
• Provide recommendations regarding products and services to other users.
At all times your information will be treated in accordance with Erideon's Privacy Policy.
Content Availability
Erideon reserves the right to change content options(including eligibility for particular features) without notice.
Use of Purchased or Rented Content
You agree that the Service and certain Products include security technology that limits your use of Products and that, whether or not Products are limited by security technology, you shall use Products incompliance with the applicable usage rules established by Erideon and its licensors (\"Usage Rules\"), and that any other use of the Products may constitute a copyright infringement. Any security technology is an inseparable part of the Products. Erideon reserves the right to modify the Usage Rules at any time. You agree not to violate, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security technology related to such Usage Rules for any reason—or to attempt or assist another person to do so. Usage Rules may be controlled and monitored by Erideon for compliance purposes, and Erideon reserves the right to enforce the Usage Rules without notice to you. You agree not to access the Service by any means other than through software that is provided by Erideon for accessing the Service. You shall not access or attempt to access an Account that you are not authorized to access. You agree not to modify the software in any manner or form, or to use modified versions of the software, for any purposes including obtaining unauthorized access to the Service. Violations of system or network security may result in civil or criminal liability.
Usage Rules
(i) You shall be authorized to use Products only for personal, non-commercial use.
(ii) You shall be authorized to use Products only with active license of Erideon Interact Foundation of appropriate version.
(iii) You shall be able to store Products only as part of Erideon Interact Foundation; Products cannot be exported without prior written permission from Erideon.
(iv) Interact Marketplace Products that do not contain security technology that limits your usage of such Products must nevertheless be used in compliance of the Usage Rules.
Products may be downloaded only once and cannot be replaced if lost for any reason. Once a Product is downloaded, it is your responsibility not to lose, destroy, or damage it, and Erideon shall not be liable to you if you do so.
The delivery of Products does not transfer to you any commercial or promotional use rights in the Products. Any exporting capabilities are solely an accommodation to you and shall not constitute a grant, waiver, or other limitation of any rights of the copyright owners in any content embodied in any Product.
You acknowledge that, because some aspects of the Service, Products, and administration of the Usage Rules entails the ongoing involvement of Erideon, if Erideon changes any part of or discontinues the Service, which Erideon may do at its election, you may not be able to use Products to the same extent as prior to such change or discontinuation, and that Erideon shall have no liability to you in such case.
Submissions to the Service
The Service may offer interactive features that allow you to submit materials (including links to third-party content) on areas of the Service accessible and viewable by the public. You agree that any use by you of such features, including any materials submitted by you, shall be your sole responsibility, shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene, objectionable, or in poor taste. You also agree that you have obtained all necessary rights and licenses. You agree to provide accurate and complete information in connection with your submission of any materials on the Service. You hereby grant Erideon a worldwide, royalty-free, non-exclusive license to use such materials as part of the Service, and in relation to Products, without any compensation or obligation to you. Erideon reserves the right to not post or publish any materials, and to remove or edit any material, at any time in its sole discretion without notice or liability.
Erideon has the right, but not the obligation, to monitor any materials submitted by you or otherwise available on the Service, to investigate any reported or apparent violation of this Agreement, and to take any action that Erideon in its sole discretion deems appropriate, including, without limitation, termination hereunder or under Erideon's Copyright Policy (http://www.erideon.com/)
Third-Party Materials
Certain content, Products, and services available via the Service may include materials from third parties. Erideon may provide links to third-party websites as a convenience to you. You agree that Erideon is not responsible for examining or evaluating the content or accuracy and Erideon does not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that Erideon is not in any way responsible for any such use by you.
Objectionable Material
You understand that by using the Service, you may encounter material that you may deem to be offensive, indecent, or objectionable, and that such content may or may not be identified as having explicit material. Nevertheless, you agree to use the Service at your sole risk and Erideon shall have no liability to you for material that may be found to be offensive, indecent, or objectionable. Product types and descriptions are provided for convenience, and you agree that Erideon does not guarantee their accuracy.
Intellectual Property
You agree that the Service, including but not limited to Products, graphics, user interface, audio clips, video clips, editorial content, and the scripts and software used to implement the Service, contains proprietary information and material that is owned by Erideon and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright. You agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Service in compliance with this Agreement. No portion of the Service may be reproduced in any form or by any means, except as expressly permitted in these terms. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service in any manner, and you shall not exploit the Service in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity.
Notwithstanding any other provision of this Agreement, Erideon and its licensors reserve the right to change, suspend, remove, or disable access to any Products, content, or other materials comprising a part of the Service at any time without notice. In no event will Erideon be liable for making these changes. Erideon may also impose limits on the use of or access to certain features or portions of the Service, in any case and without notice or liability.
All copyrights in and to the Service (including the compilation of content, postings, links to other Internet resources, and descriptions of those resources) and related software are owned by Erideon and/or its licensors, who reserve all their rights in law and equity. THE USE OF THE SOFTWARE OR ANY PART OF THE SERVICE, EXCEPT FOR USE OF THE SERVICE AS PERMITTED IN THIS AGREEMENT, IS STRICTLY PROHIBITED AND INFRINGES ON THE INTELLECTUAL PROPERTY RIGHTS OF OTHERS AND MAY SUBJECT YOU TO CIVIL AND CRIMINAL PENALTIES, INCLUDING POSSIBLE MONETARY DAMAGES, FOR COPYRIGHT INFRINGEMENT.
Erideon, the Erideon logo, Interact Marketplace, and other Erideon trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Erideon Private Limited in the Republic of Singapore and/or other countries. Other trademarks, service marks, graphics, and logos used in connection with the Service may be the trademarks of their respective owners. You are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks.
As an Account holder of the Service in good standing, you may be provided with limited access to download certain supplementary materials related to the applications in your Interact Marketplace Library. Such access is provided as an accommodation only, and Erideon does not warrant, and will not have any liability or responsibility for, such supplementary materials or your use thereof. Supplementary materials are provided for personal, non-commercial use only. You agree that you will not use such materials in any manner that would infringe or violate this Agreement or the rights of any other party, and that Erideon is not in any way responsible for any such use by you.
Termination
If you fail, or Erideon suspects that you have failed, to comply with any of the provisions of this Agreement, Erideon, at its sole discretion, without notice to you may: (i) terminate this Agreement and/or your Account, and you will remain liable for all amounts due under your Account up to and including the date of termination; and/or (ii) terminate the license to the software; and/or (iii) preclude access to the Service (or any part thereof).
Erideon reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice to you, and Erideon will not be liable to you or to any third party should it exercise such rights.
Disclaimer of Warranties; Liability Limitation
ERIDEON DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME ERIDEON MAY REMOVE THE SERVICE FOR INDEFINITE PERIODS OF TIME, OR CANCEL THE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU.
YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE (EXCEPT AS EXPRESSLY STATED BY ERIDEON) PROVIDED \"AS IS\" AND \"AS AVAILABLE\" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU.
IN NO CASE SHALL ERIDEON, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF ANY OF THE SERVICES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, ERIDEON'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.
ERIDEON SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND ERIDEON HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.
ERIDEON DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND ERIDEON DISCLAIMS ANY LIABILITY RELATING THERE TO. PRODUCTS CAN BE DOWNLOADED ONLY ONCE; AFTER BEING DOWNLOADED, THEY CANNOT BE REPLACED IF LOST FOR ANY REASON. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, INCLUDING ANY PRODUCTS PURCHASED OR RENTED FROM THE INTERACT MARKETPLACE THAT ARE STORED IN YOUR SYSTEM.
Waiver and Indemnity
BY USING THE SERVICE, YOU AGREE TO INDEMNIFY AND HOLD ERIDEON, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF THE SERVICE, OR ANY ACTION TAKEN BY ERIDEON AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS MEANS THAT YOU CANNOT SUE OR RECOVER ANY DAMAGES FROM ERIDEON, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICE, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A OCCURRED. THIS RESULT OF ERIDEON'S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS AGREEMENT.
Changes
Erideon reserves the right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of the Service. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Service will be deemed acceptance thereof.
Miscellaneous
This Agreement constitutes the entire agreement between you and Erideon and governs your use of the Service, superseding any prior agreements between you and Erideon. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Erideon's failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. Erideon will not be responsible for failures to fulfil any obligations due to causes beyond its control.
The Service is operated by Erideon from its offices in the Republic of Singapore. You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the Service. All transactions on the Service are governed by the law of the Republic of Singapore, without giving effect to its conflict of law provisions. Your use of the Service may also be subject to other laws. You expressly agree that exclusive jurisdiction for any claim or dispute with Erideon or relating in any way to your use of the Service resides in the courts of the Republic of Singapore. Risk of loss and title for all electronically delivered transactions pass to the purchaser in the Republic of Singapore upon electronic transmission to the recipient. No Erideon employee or agent has the authority to vary this Agreement.
Erideon may notify you with respect to the Service by sending an email message to your Account email address or a letter via postal mail to your Account mailing address, or by a posting on the Service. Notices shall become effective immediately.
Erideon reserves the right to take steps Erideon believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. You agree that Erideon has the right, without liability to you, to disclose any Registration Data and/or Account information to law enforcement authorities, government officials, and/or a third party, as Erideon believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement(including but not limited to Erideon's right to cooperate with any legal process relating to your use of the Service and/or Products, and/or a third-party claim that your use of the Service and/or Products is unlawful and/or infringes such third party's rights).
License of Interact Marketplace Products
The software products made available through the Interact Marketplace (collectively, the \"Interact Marketplace Products\") are licensed, not sold, to you. There are two (2) categories of Interact Marketplace Products, as follows: (i) those Interact Marketplace Products that have been developed, and are licensed to you, by Erideon (the \"Erideon Products\"); and (ii) those Interact Marketplace Products that have been developed, and are licensed to you, by a third-party developer (the \"Third-Party Products\"). The category of a particular Interact Marketplace Product (Erideon Product or Third-Party Product) is identified on the Interact Marketplace.
Your license to each Interact Marketplace Product is subject to the Licensed Application End User License Agreement set forth below. You agree that the terms of the Licensed Application End User License Agreement will apply to each Erideon Product and to each Third-Party Product that you license through the Interact Marketplace Service, unless the Interact Marketplace Product is covered by a valid end user license agreement entered into between you and the licensor of the Interact Marketplace Product (the \"Licensor\"), in which case the Licensor's end user license agreement will apply to that Interact Marketplace Product. The Licensor reserves all rights in and to the Interact Marketplace Product not expressly granted to you.
You acknowledge that the license you purchase to each Erideon Product that you obtain through the Services is a binding agreement between you and Erideon. You acknowledge that: you are purchasing the license to each Third-Party Product from the third-party licensor of that Third-Party Product (the \"Application Provider\"); Erideon is acting as agent for the Application Provider in providing each such Third-Party Product to you; and Erideon is not a party to the license between you and the Application Provider with respect to that Third-Party Product. The Application Provider of each Third-Party Product is solely responsible for that Third-Party Product, the content therein, any warranties to the extent that such warranties have not been disclaimed, and any claims that you or any other party may have relating to that Third-Party Product.
You acknowledge and agree that Erideon and its subsidiaries are third-party beneficiaries of the Licensed Application End User License Agreement or the Application Provider's end user license agreement, as the case may be, for each Third-Party Product. You also agree that, upon your acceptance of the terms and conditions of the license to any such Third-Party Product, Erideon will have the right (and will be deemed to have accepted the right) to enforce such license against you as a third-party beneficiary thereof.
Certain Interact Marketplace Products may include functionality that enables you to purchase additional services, or licenses to additional functionality or content for use within the Interact Marketplace Product (\"In App Purchases\"). In App Purchases that are consumed during the use of the Interact Marketplace Product (for example, module extensions) cannot be transferred among deployments; can be downloaded only once; and after being downloaded, cannot be replaced. Once a consumable In App Purchase is purchased and received by you, Erideon shall be without liability to you in the event of any loss, destruction, or damage. All In App Purchases are deemed Interact Marketplace Products, and In App Purchases made within Third-Party Products are deemed Third-Party Products, and treated as such, for purposes of these terms and conditions.
Interact Marketplace Product Usage Rules
Except as otherwise set forth herein,
(i) You may download or sync a Product from the Interact Marketplace (\"Interact Marketplace Product\") for personal, non-commercial use on an appropriately-licensed Erideon Interact Live Foundation you own or control (\"Interact Foundation\").
(ii) If you are a commercial enterprise or educational institution, you may download or sync and Interact Marketplace Product for use either (a) by a single individual on each of the Interact Foundation(s) that you own or control, or (b) by multiple individuals on a single shared Interact Foundation that you own or control within the relevant licensing restrictions.
(iii) Use may require sign-in with your Account used to download the Interact Marketplace Product from the Interact Marketplace. Interact Marketplace Products can be updated through the Interact Marketplace or Interact Foundation only.
Interact Marketplace Product Maintenance and Support
Erideon will be responsible for providing any maintenance and support services with respect to the Erideon Products only, as specified in the Licensed Application End User License Agreement or the separate end user license agreement, as the case may be, or as required under applicable law. The Application Provider of any Third-Party Product will be solely responsible for providing maintenance and support services with respect to that Product, as specified in the Licensed Application End User License Agreement or the Application Provider end user license agreement, as the case may be, or as required under applicable law.
Licensed Application End User License Agreement
The Interact Marketplace Product or Products(collectively, \"Interact Marketplace Product(s)\") made available through the Interact Marketplace (collectively, \"Interact Marketplace Service(s)\") are licensed, not sold, to you. Your license to each Interact Marketplace Product that you obtain through the Interact Marketplace Service is subject to your prior acceptance of this Licensed Application End User License Agreement, and you agree that the terms of this Licensed Application End User License Agreement will apply to each Interact Marketplace Product that you license through the Interact Marketplace Service, unless that Interact Marketplace Product is covered by a valid end user license agreement between you and the Licensor of that Interact Marketplace Product (\"Custom EULA\"), in which case the terms of that separate end user license agreement will govern. Your license to any Erideon Product under this Licensed Application End User License Agreement is granted by Erideon, and your license to any Third-Party Product under this Licensed Application End User License Agreement is granted by the Licensor of that Third-Party Product. Any Interact Marketplace Product that is subject to the license granted under this Licensed Application End User License Agreement is referred to herein as the \"Licensed Application\". Licensor reserves all rights in and to the Licensed Application not expressly granted to you under this Licensed Application End User License Agreement.
a. Scope of License: This license granted to you for the Licensed Application by Licensor is limited to a non-transferable license to use the Licensed Application on any Erideon-branded products running on Interact Foundation or Interact Live Foundation, as applicable (collectively, “Interact Foundation\") that you own or control with valid and relevant licensing, and as permitted by the usage rules set forth in the Interact Marketplace Terms and Conditions (the \"Usage Rules\"). This license does not allow you to use the Licensed Application on any Interact Foundation that you do not own or control, and except as provided in the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, transfer redistribute, or sublicense the Licensed Application and, if you sell your Interact Foundation to a third party, you must remove the Licensed Application from the Interact Foundation before doing so. You may not copy (except as expressly permitted by this license and the Usage Rules),decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Application). Any attempt to do so is a violation of the rights of the Licensor and its licensors. If you breach this restriction, you may be subject to prosecution and damages.
The terms of this license will govern any upgrades provided by Licensor that replace and/or supplement the original Licensed Application, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.
b. Consent to Use of Data: You agree that Licensor may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any)related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.
c. Termination. The license is effective until terminated by you or Licensor. Your rights under this license will terminate automatically without notice from the Licensor if you fail to comply with any term(s) of this license. Upon termination of the license, you shall cease all use of the Licensed Application and destroy all copies, full or partial, of the Licensed Application.
d. Services; Third-Party Materials. The Licensed Application may enable access to Erideon's, Licensor's and/or third-party services and websites (collectively and individually, \"Services\").Use of the Services requires Internet access and use of certain Services requires you to accept additional terms. By using this software in connection with an Interact Marketplace account, you agree to the latest Interact Marketplace Terms and Conditions and Usage Rules.
You understand that by using any of the Services, you may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that the results of any search or entering of a particular URL may automatically and unintentionally generate links or references to objectionable material. Nevertheless, you agree to use the Services at your sole risk and that neither the Licensor nor Erideon shall have any liability to you for content that maybe found to be offensive, indecent, or objectionable.
Certain Services may display, include or make available content, data, information, applications or materials from third parties (\"Third Party Materials\") or provide links to certain third party websites. By using the Services, you acknowledge and agree that neither the Licensor nor Erideon is responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or websites. The Licensor, Erideon, and Erideon's officers, affiliates and subsidiaries do not warrant or endorse and do not assume and will not have any liability or responsibility to you or any other person for any third-party Services, Third Party Materials or web sites, or for any other materials, products, or services of third parties. Third Party Materials and links to other web sites are provided solely as a convenience to you.
Financial information displayed by any Services is for general informational purposes only and should not be relied upon as investment advice. Before executing any securities transaction based upon information obtained through the Services, you should consult with a financial or securities professional who is legally qualified to give financial or securities advice in your country or region. Location data provided by any Services is for basic navigational purposes only and is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate, time-delayed or incomplete location data may lead to death, personal injury, property or environmental damage. Neither the Licensor nor Erideon or any of its content providers guarantees the availability, accuracy, completeness, reliability, or timeliness of stock information, location data or any other data displayed by any Services.
You agree that the Services contain proprietary content, information and material that is owned by Erideon and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright, and that you will not use such proprietary content, information or materials in any way whatsoever except for permitted use of the Services or in any manner that is inconsistent with the terms of this License or that infringes any intellectual property rights of a third party or Erideon. No portion of the Services may be reproduced in any form or by any means. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services, in any manner, and you shall not exploit the Services in any unauthorized way whatsoever, including but not limited to, using the Services to transmit any computer viruses, worms, trojan horses or other malware, or by trespass or burdening network capacity. You further agree not to use the Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party, and that Erideon is not in any way responsible for any such use by you, nor for any harassing, threatening, defamatory, offensive, infringing or illegal messages or transmissions that you may receive as a result of using any of the Services.
In addition, Services and Third Party Materials that may be accessed from, displayed on or linked to from the Erideon Devices are not available in all languages or in all countries or regions. Erideon makes no representation that such Services and Materials are appropriate or available for use in any particular location. To the extent you choose to use or access such Services and Materials, you do so at your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws. Erideon reserves the right to change, suspend, remove, or disable access to any Services at any time without notice. In no event will Erideon be liable for the removal of or disabling of access to any such Services. Erideon may also impose limits on the use of or access to certain Services, in any case and without notice or liability.
e. NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION (\"SERVICES\") ARE PROVIDED \"AS IS\" AND \"AS AVAILABLE\", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. LICENSOR DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE LICENSED APPLICATION, THAT THE FUNCTIONS CONTAINED IN OR SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE LICENSED APPLICATION OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE LICENSED APPLICATION OR SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.
f. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Licensor's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury)exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
g. You may not use or otherwise export or re-export the Licensed Application except as authorized by the Republic of Singapore law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported into any embargoed countries or entities or persons disallowed by the Republic of Singapore. By using the Licensed Application, you represent and warrant that you are not located in any such country or are such entity or person. You also agree that you will not use these products for any purposes prohibited by the Republic of Singapore law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
h. The laws of the Republic of Singapore, excluding its conflicts of law rules, govern this license and your use of the Licensed Application. Your use of the Licensed Application may also be subject to other local, state, national, or international laws.

Your privacy is important to Erideon. So we've developed a Privacy Policy that covers how we collect, use, disclose, transfer, and store your information. Please take a moment to familiarize yourself with our privacy practices and let us know if you have any questions before entering into any Agreement, continuing with the use of Services, or purchasing any Products or Interact Marketplace Products.
Collection and Use of Personal Information
Personal information is data that can be used to uniquely identify or contact a single person.
You may be asked to provide your personal information anytime you are in contact with Erideon or an Erideon affiliated company. Erideon and its affiliates may share this personal information with each other and use it consistent with this Privacy Policy. They may also combine it with other information to provide and improve our products, services, content, and advertising.
Here are some examples of the types of personal information Erideon may collect and how we may use it.
What personal information we collect
• When you create an Erideon Account, register your products, purchase a product, download a software update, or participate in an online survey, we may collect a variety of information, including your name, mailing address, phone number, email address, contact preferences, and credit card information.
• When you share your content with family and friends using Erideon products, send gift certificates and products, or invite others to join you on Erideon forums ,Erideon may collect the information you provide about those people such as name, mailing address, email address, and phone number.
How we use your personal information
• The personal information we collect allows us to keep you posted on Erideon's latest product announcements, software updates, and upcoming events. It also helps us to improve our services, content, and advertising. If you don't want to be on our mailing list, you can opt out anytime by updating your preferences.
• We also use personal information to help us develop, deliver, and improve our products, services, content, and advertising.
• From time to time, we may use your personal information to send important notices, such as communications about purchases and changes to our terms, conditions, and policies. Because this information is important to your interaction with Erideon, you may not opt out of receiving these communications.
• We may also use personal information for internal purposes such as auditing, data analysis, and research to improve Erideon's products, services, and customer communications.
• If you enter into a sweepstake, contest, or similar promotion we may use the information you provide to administer those programs.
Collection and Use of Non-Personal Information
We also collect non-personal information - data in a form that does not permit direct association with any specific individual. We may collect, use, transfer, and disclose non-personal information for any purpose. The following are some examples of non-personal information that we collect and how we may use it:
• We may collect information such as occupation, language, zip code, area code, unique device identifier, location, and the time zone where an Erideon product is used so that we can better understand customer behaviour and improve our products, services, and advertising.
• We also may collect information regarding customer activities on our website, Interact Marketplace and from our other products and services. This information is aggregated and used to help us provide more useful information to our customers and to understand which parts of our website, products, and services are of most interest. Aggregated data is considered non-personal information for the purposes of this Privacy Policy.
If we do combine non-personal information with personal information the combined information will be treated as personal information for as long as it remains combined.
Cookies and Other Technologies
Erideon's website, online services, interactive applications, email messages, and advertisements may use \"cookies\" and other technologies such as pixel tags and web beacons. These technologies help us better understand user behaviour, tell us which parts of our website people have visited, and facilitate and measure the effectiveness of advertisements and web searches. We treat information collected by cookies and other technologies as non-personal information. However, to the extent that Internet Protocol (IP)addresses or similar identifiers are considered personal information by local law, we also treat these identifiers as personal information. Similarly, to the extent that non-personal information is combined with personal information, we treat the combined information as personal information for the purposes of this Privacy Policy.
Erideon and its partners use cookies and other technologies in mobile advertising services to control the number of times you see a given ad, deliver ads that relate to your interests, and measure the effectiveness of ad campaigns. If you do not want to receive ads with this level of relevance on your mobile device, you can opt out by accessing the following relevant link on your device. If you opt out, you will continue to receive the same number of mobile ads, but they may be less relevant because they will not be based on your interests. You may still see ads related to the content on a web page or in an application or based on other non-personal information. This opt-out applies only to Erideon advertising services and does not affect interest-based advertising from other advertising networks.
Erideon and our partners also use cookies and other technologies to remember personal information when you use our website, online services, and applications. Our goal in these cases is to make your experience with Erideon more convenient and personal. For example, knowing your first name lets us welcome you the next time you visit the Erideon Online Store. Knowing your country and language - and if you are an educator, your school - helps us provide a customized and more useful shopping experience. Knowing someone using your computer or device has shopped for a certain product or used a particular service helps us make our advertising and email communications more relevant to your interests. And knowing your contact information, product serial numbers, and information about your computer or device helps us register your products, personalize your operating system, set up your MobileMe service, and provide you with better customer service.

As is true of most websites, we gather some information automatically and store it in log files. This information includes Internet Protocol (IP) addresses, browser type and language, Internet service provider (ISP), referring and exit pages, operating system, date/time stamp, and clickstream data.
We use this information to understand and analyse trends, to administer the site, to learn about user behaviour on the site, and to gather demographic information about our user base as a whole. Erideon may use this information in our marketing and advertising services.
In some of our email messages, we use a \"click-through URL\" linked to content on the Erideon website. When customers click one of these URLs, they pass through a separate web server before arriving at the destination page on our website. We track this click-through data to help us determine interest in particular topics and measure the effectiveness of our customer communications. If you prefer not to be tracked in this way, you should not click text or graphic links in the email messages.
Pixel tags enable us to send email messages in a format customers can read, and they tell us whether mail has been opened. We may use this information to reduce or eliminate messages sent to customers.
Disclosure to Third Parties
At times Erideon may make certain personal information available to strategic partners that work with Erideon to provide products and services, or that help Erideon market to customers. For example, when you purchase and activate your Interact Foundation, you authorize Erideon to exchange the information you provide during the activation process to carry out Services. Personal information will only be shared by Erideon to provide or improve our products, services and advertising; it will not be shared with third parties for their marketing purposes.
Service Providers
Erideon shares personal information with companies who provide services such as information processing, extending credit, fulfilling customer orders, delivering products to you, managing and enhancing customer data, providing customer service, assessing your interest in our products and services, and conducting customer research or satisfaction surveys. These companies are obligated to protect your information and may be located wherever Erideon operates.
Others
It may be necessary - by law, legal process, litigation, and/or requests from public and governmental authorities within or outside your country of residence - for Erideon to disclose your personal information. We may also disclose information about you if we determine that for purposes of national security, law enforcement, or other issues of public importance, disclosure is necessary or appropriate.

\r\n\r\n The parties agree to the following terms for Company's participation in the Program.\r\n
\r\n\r\n The Erideon Partner Network (the \"EPN\") is designed to help qualified technology companies build, sell,\r\n service, and support solutions for their customers based on Erideon technologies. To qualify for the EPN, a business must\r\n sell more than 75 percent of its IT solutions and services to unaffiliated third parties. Company's participation in\r\n the EPN is voluntary. Nothing in this Agreement restricts Company from working with and using non\r\n \r\n -\r\n \r\n Erideon technologies.\r\n
\r\n\"\r\n Affiliate\" means any legal entity that owns, is owned by, or is commonly owned with a party. \"Own\" means\r\n having more than 50% ownership or the right to direct the management of the entity;
\r\n\"\r\n Company\" means the business entity that meets the qualifications to participate in EPN, and that has\r\n entered into this Agreement;
\r\n\"\r\n Confidential Information\" means non-public information, know-how or trade secrets in any form,\r\n that:
\r\n\r\n Are designated as being confidential; or\r\n
\r\n\r\n A reasonable person knows or reasonably should understand to be confidential.\r\n
\r\n\r\n The following types of information, however marked, are not Confidential Information. Information\r\n that:\r\n
\r\n\r\n Is, or becomes, publicly available without a breach of this Agreement;\r\n
\r\n\r\n Was lawfully known to the receiver of the information without an obligation to keep it\r\n confidential;\r\n
\r\n\r\n Is received from another source who can disclose it lawfully and without an obligation to keep it\r\n confidential;\r\n
\r\n\r\n Is independently developed; or\r\n
\r\n\r\n Is a comment or suggestion one party volunteers about the other's business products or\r\n services;\r\n
\r\n\"\r\n Company Contractor\" means a non-employee business entity Company engages to perform work for Company for\r\n a limited duration.
\r\n\"\r\n Fix(es)\" means Product fixes, modifications or enhancements or their derivatives that Erideon either\r\n releases generally (such as commercial Product service packs), or that Erideon provides to Company when performing\r\n Services (such as workarounds, patches, bug fixes, beta fixes and beta builds);
\r\n\"\r\n Location\" means the Company Affiliate(s) enrolled in the Program and associated with the Company to\r\n share the Program benefits;
\r\n\"\r\n Membership Opportunities\" means the level of Company's participation in the Program;
\r\n\"\r\n Erideon\" has the meaning as defined in Section 13(m);
\r\n\"\r\n Erideon Materials\" means technology (including Products), Services, Erideon Services Materials,\r\n security, technical and sales and marketing information and resources, training courses and materials and other\r\n benefits Erideon offers to Company under the Program;
\r\n\"\r\n Erideon Services Material(s)\" means any non-code based written materials Erideon provides to Company as\r\n part of performing the Services under the Program;
\r\n\"\r\n Pre-existing Work\" means any computer code or materials (other than Products or Fixes) developed or\r\n obtained independent of this Agreement, whether by or for Erideon or its Affiliates, or by or for Company or its\r\n Affiliates;
\r\n\"\r\n Product\" means all Erideon products and technologies Erideon makes available under this Agreement,\r\n including but not limited to products made available for license for a fee, products provided prior to commercial\r\n release, hardware, and including any online services and other web-based services identified on the Product\r\n List;
\r\n\"\r\n Product List\" means, with respect to any licensing program, the most recent statement published by\r\n Erideon from time to time in print, or at http://www.erideon.com/, or at a successor site that Erideon identifies,\r\n which identifies the Products that are or may be made available under the Program (which availability may vary by\r\n region);
\r\n\"\r\n Program\" means the Erideon Partner Network or EPN;
\r\n\"\r\n Program Website\" means the website located at http://partners.erideon.com/ or a successor site\r\n designated by Erideon. The Program Website provides tools and information about the Program, Terms of Use and Privacy\r\n Statement. In the absence of Program Website, the term shall refer to the content of this Agreement;
\r\n\"\r\n Services\" means support, consulting, training and other services or advice provided through the Program;\r\n and
\r\n\"\r\n Term\" has the meaning given to it under Section 7(a).
\r\n\r\n \r\n Enrolment.\r\n \r\n Company will be enrolled after it accepts this Agreement, pays a membership fee, and is accepted by\r\n Erideon into the Program. Erideon will notify Company when its enrolment is complete.
\r\n\r\n \r\n Membership Opportunities.\r\n \r\n There are three Membership Opportunities covered by the terms of this Agreement:
\r\n\r\n Registered Membership\r\n
\r\n\r\n Certified Membership\r\n
\r\n\r\n Expert Membership\r\n
\r\n\r\n Membership Opportunities and requirements are described more fully on the Program Website.\r\n
\r\n\r\n \r\n Competency.\r\n \r\n A competency is a Program recognition given to partners for areas of expertise. The Program Website\r\n explains the competencies and related requirements, and may include:
\r\n\r\n Erideon Authorised Reseller\r\n
\r\n\r\n Erideon Authorised Academic Licensing Reseller\r\n
\r\n\r\n Erideon Authorised Solutions Consultant\r\n
\r\n\r\n Erideon Authorised Learning Solutions Provider\r\n
\r\n\r\n \r\n Program administration.\r\n \r\n Erideon will administer the Program and its benefits through the Program Website and Program\r\n communications. Erideon may communicate with Company to:
\r\n\r\n Administer the Program;\r\n
\r\n\r\n Give Company information about the Program, including events and training opportunities;\r\n
\r\n\r\n Invite Company to participate in surveys and research; and\r\n
\r\n\r\n Give Company Erideon Materials to help it deliver solutions based on Products.\r\n
\r\n\r\n \r\n Program Changes.\r\n \r\n
\r\n\r\n Erideon may change the Program or any aspect of it. Erideon will give Company 30 days' e-mail or\r\n other written notice of any substantive Program changes.\r\n
\r\n\r\n Company is responsible to check the Program Website regularly for all other changes. Program\r\n Website changes are effective on the date they are posted. Changes do not apply retroactively.\r\n
\r\n\r\n Company will receive the benefits described on the Program Website. Benefits may vary by Membership\r\n Opportunity, competency, and country. Benefits may include Erideon Materials.\r\n
\r\n\r\n Program benefits may require additional fees and have additional terms, conditions, and licenses.\r\n Company must (i) accept those additional terms before using any Program benefit and (ii) use the Program benefits\r\n according to those additional terms and this Agreement. Company may not use the Program benefit(s) if it does not\r\n agree to those additional terms, if applicable.\r\n
\r\n\r\n Company's Affiliates may participate in the Program as a Location for the purpose of pooling Company\r\n resources to earn Competencies or for sharing benefits.\r\n
\r\n\r\n Except as otherwise stated, Company may utilize the certifications and skills of Company employees\r\n and/or Contractors to fulfil Program requirements. Such Company employees and Contractors may avail themselves of\r\n Company's EPN benefits only as long as they are performing work for the Company. Once Company employee and/or\r\n Contractor ceases to perform work for the Company, the individual must be disassociated with the Program and the\r\n individual must stop using Company's EPN benefits.\r\n
\r\n\r\n A Company Contractor may not be listed as dedicating its staff credentials to more than one\r\n partner; this limitation applies to Company Contractor only for the purpose of Programme or Membership\r\n Opportunity eligibility, and does not preclude or restrict any Company Contractor from performing services\r\n required by Company or any other partner relating to the EPN.\r\n
\r\n\r\n If employee and/or Contractor ceases to perform work for the Company and as a result, the Company\r\n no longer meets Program eligibility requirements, the Company will need to take actions to re-establish its\r\n eligibility requirements within 90 days.\r\n
\r\n\r\n Services benefits\r\n
\r\n\r\n Company's use of Services offered as a benefit of the Program, will be governed by this\r\n Agreement.\r\n
\r\n\r\n Erideon's delivery of Services depends on Company's full and timely cooperation, as well as\r\n the accuracy and completeness of Company's information.\r\n
\r\n\r\n Erideon may offer Services for new Products or discontinue Services for existing Products in\r\n accordance with Erideon's lifecycle policies available on request. Erideon will notify Company if it cannot\r\n effectively provide Services in certain cases.\r\n
\r\n\r\n Services and associated Erideon Services Materials are provided subject to the rules and\r\n restrictions contained on the Program Website, in addition to the following:\r\n
\r\n\r\n \r\n Third Party Content.\r\n \r\n Erideon may provide links to third party web sites and content in the Services and Erideon\r\n Services Materials. The linked sites and content are not under Erideon's control and Erideon is not\r\n responsible for such content. Erideon does not support or endorse any third party sites or content and provides\r\n these links solely as a convenience. Erideon makes no representations or warranties, express, implied or\r\n statutory, as to any third party web sites or content.
\r\n\r\n \r\n Updates.\r\n \r\n During the term of this Agreement, Erideon may provide Company with updates to the Services or\r\n Erideon Services Materials, at Erideon's discretion. Erideon has no duty to update the Services or Erideon\r\n Services Materials.
\r\n\r\n \r\n Request for Customer Information.\r\n \r\n In order to assess the value of the Services, Company consents to provide the following\r\n information regarding those Company customers who have benefitted from such Services:
\r\n\r\n customer name (optional and with customers' prior consent)\r\n
\r\n\r\n customer industry and size information\r\n
\r\n\r\n customer opportunity size\r\n
\r\n\r\n total customer opportunity versus portion attributable to Services\r\n
\r\n\r\n Win/Loss data (dates, reasons, perceived value of Services)\r\n
\r\n\r\n \r\n Request for Program Feedback.\r\n \r\n Company consents to periodically provide feedback on Company's experience with the\r\n Services:
\r\n\r\n Value/quality of the Erideon Services Materials\r\n
\r\n\r\n Quality of support\r\n
\r\n\r\n Customer's perceptions\r\n
\r\n\r\n Impact on Company's business\r\n
\r\n\r\n Terms of Section 8(d) below apply to all feedback provided by Company.\r\n
\r\n\r\n Use, Ownership, and License Rights for Erideon Services.\r\n
\r\n\r\n All Fixes provided for a specific Product are licensed according to the terms of the license\r\n agreement packaged with or otherwise applicable to such Product. Erideon's Fixes are licensed to Company, not\r\n sold. If the Fix is not provided for a specific Product, the following license terms apply. Erideon grants\r\n Company a non-exclusive, period-based, fully paid-up license to use and reproduce any Fix that Erideon provides\r\n to Company when performing Services for its internal business operations. Erideon also grants Company the right\r\n to grant to its customers that Company specifically identifies in writing to Erideon, a non-exclusive,\r\n period-based, fully paid-up license to use and reproduce the identified Fix for customer's internal business\r\n operations only. The term \"period-based\" implies the same period as the license provided for the Product; for\r\n example, a subscription based product implies the duration of a valid, paid-up subscription term.\r\n
\r\n\r\n \r\n Pre-existing Work.\r\n \r\n All rights in any Pre-existing Work will remain the sole property of the party providing the\r\n Pre-existing Work. During the performance of the Services, each party grants to the other party (and their\r\n respective contractors as necessary) a non-exclusive, temporary, fully paid-up, license to use, reproduce and\r\n modify any of its Pre-existing Work solely to perform the Services. Erideon also grants Company a non-exclusive,\r\n temporary, fully paid-up, license to use and reproduce its Pre-existing Work in the form provided to Company as\r\n part of the Erideon Services Material(s) for Company's internal business operations. Erideon also grants\r\n Company the right to grant to its customers that Company specifically identifies in writing to Erideon a\r\n non-exclusive, temporary, fully paid-up license to use and reproduce Erideon's Pre-existing Work in the form\r\n provided to Company as part of the Erideon Services Material(s) for customer's internal business operations. In\r\n no event is Company granted any license to distribute Erideon Pre-existing Work apart from the Erideon Services\r\n Material(s).
\r\n\r\n \r\n Erideon Services Materials.\r\n \r\n Erideon retains all rights and ownership in the Erideon Services Material(s) except to the extent\r\n such materials constitute Company's Pre-existing Work. Erideon grants Company a non-exclusive, perpetual, fully\r\n paid-up, license to use, reproduce and modify any of the Erideon Services Material(s) for Company's internal\r\n business operations. Erideon also grants Company the right to grant to its customers a non-exclusive, perpetual,\r\n fully paid-up license to use, reproduce and modify Erideon's Services Material(s) for customer's internal\r\n business operations.
\r\n\r\n \r\n Sample Code.\r\n \r\n Your use of sample software code provided by Erideon for the purposes of illustration (\"Sample\r\n Code\") is subject to the Microsoft Public License, posted at\r\n http://opensource.org/licenses/ms-pl.html.
\r\n\r\n \r\n Distribution Indemnification and Additional Restrictions.\r\n \r\n Any distribution by Company under this Agreement must be pursuant to a license agreement with\r\n customer that includes a license grant with a statement of ownership and restrictions consistent with the terms\r\n of this Agreement. Company will indemnify and hold Erideon harmless, and defend Erideon and its suppliers from\r\n and against any claims or lawsuits, including attorneys' fees or legal costs, that relate to Company's\r\n distribution of any Erideon Services Material(s) or Fixes including:
\r\n\r\n Company's customers' use;\r\n
\r\n\r\n Company's negligent or wilfully wrongful acts associated with distribution or\r\n marketing;\r\n
\r\n\r\n Any additions or modifications Company makes; and\r\n
\r\n\r\n Any use in violation of this Agreement\r\n
\r\n\r\n \r\n Open source license restrictions.\r\n \r\n Some software licenses require, as a condition of use, modification and/or distribution that the\r\n software or other software combined and/or distributed with it be:
\r\n\r\n Disclosed or distributed in source code form;\r\n
\r\n\r\n Licensed for the purpose of making derivative works; or\r\n
\r\n\r\n Redistributable at no charge (collectively, \"Open Source License Terms\").\r\n
\r\n\r\n The license rights that each party has granted to any computer code (or any intellectual property\r\n associated therewith) are limited. Each party warrants that it will not grant the other party computer code license\r\n rights that include any license, right, power or authority to incorporate, modify, combine or distribute that computer\r\n code with any other computer code in a manner that would subject the other's computer code to Open Source License\r\n Terms.\r\n
\r\n\r\n \r\n Affiliate rights.\r\n \r\n Company may sublicense the rights contained in this Section 4(e) to its Affiliates. However,\r\n Company's Affiliates may not sublicense these rights and Company's Affiliates' use must be consistent with\r\n these license terms.
\r\n\r\n \r\n Reservation of rights.\r\n \r\n With respect to Services, all rights not expressly granted to Company in this Section 4(e) are\r\n reserved by Erideon.
\r\n\r\n Software benefits\r\n
\r\n\r\n Company's right to use Products offered to Company under the Program will be governed by this\r\n Agreement and the terms of the license agreement packaged with or otherwise applicable to a Product. If there is\r\n any direct conflict between this Agreement and any terms of a separate agreement not resolved explicitly on the\r\n face of such documents, then the terms of this Agreement will control. If a particular subject is addressed in\r\n the separate agreement and not in this Agreement, then the terms of the separate agreement will control.\r\n
\r\n\r\n Company will not engage or participate in the unauthorized manufacture, duplication, delivery,\r\n transfer or use of counterfeit, pirated, unlicensed or illegal Product or other Erideon Materials. Company will\r\n not reverse engineer, decompile, disassemble or separate the Product. Company will not otherwise infringe any of\r\n Erideon's intellectual property rights. Company must reasonably cooperate with Erideon and its Affiliates in\r\n the investigation of counterfeit, pirated, unlicensed or illegal Product and other Erideon Materials. Company\r\n must promptly report to Erideon any suspected counterfeiting, piracy or other copyright infringement in computer\r\n programs, manuals, course material, marketing Materials or other copyrighted Materials owned by Erideon or its\r\n licensors.\r\n
\r\n\r\n Company will acquire enough Erideon Product licenses through the Program or applicable Erideon\r\n licensing programs to match:\r\n
\r\n\r\n The quantities of the Erideon Product it uses; and\r\n
\r\n\r\n The maximum number of users and devices that may access or use the Erideon Product under\r\n Company's agreements with Erideon or a reseller.\r\n
\r\n\r\n Erideon may take actions, including the following, to ensure that Company complies with the Agreement and\r\n this Section 4(f)(3). Company consents to have Erideon collect data from its \"License Verification Programme\" and other\r\n similar programs. Erideon may conduct audits under Section 12(a) of this Agreement and may contact Company and/or take\r\n actions to prevent Company from using more Products than authorized by this Agreement.\r\n
\r\n\r\n Company's benefits under the Program, including Products, are for internal use only and may not be\r\n distributed to Company's customers or any other third party.\r\n
\r\n\r\n Company will inform Erideon if it:\r\n
\r\n\r\n Knows or suspects that a customer does not have enough Erideon licenses, and\r\n
\r\n\r\n Knows or suspects that a customer is violating an Erideon license agreement.\r\n
\r\n\r\n Any Product licenses that Company receives under the Program will be valid for the Term of this\r\n Agreement only.\r\n
\r\n\r\n \r\n Limited trademark license.\r\n \r\n The \"Erideon Marks\" include those trademarks, logos, symbols, and names identified in the Erideon logo\r\n guidelines on the Program Website. Company must meet criteria explained on the Program Website to use the Erideon\r\n Marks. Erideon grants to Company a non-exclusive, non-transferable, limited, royalty-free license to use the applicable\r\n Erideon Marks as long as it meets the criteria. Erideon is the sole owner of the Erideon Marks and the sole beneficiary\r\n of any goodwill related to Company's use of them. Company will:
\r\n\r\n Not acquire any right, title or interest in the Erideon Marks because of its use of the Erideon\r\n Marks.\r\n
\r\n\r\n Not register, adopt or use any name, trademark, domain name or other designation that includes any\r\n part of an Erideon Mark, or any term that is confusingly similar to an Erideon Mark. This includes a translation\r\n or transliteration of an Erideon Mark.\r\n
\r\n\r\n Use the Erideon Marks only in connection with Erideon Materials:\r\n
\r\n\r\n In the form Erideon provides;\r\n
\r\n\r\n For Program advertising and promotion activities; and\r\n
\r\n\r\n According to the terms of this Agreement and the Program Website.\r\n
\r\n\r\n Not alter, animate or distort the Erideon Marks or combine them with any other symbols, words,\r\n images or design elements.\r\n
\r\n\r\n Not use any of the Erideon Marks or Erideon Materials for the transmission or distribution of\r\n unsolicited commercial e-mail or in any manner that violates local law or custom or conflicts with the Erideon\r\n policies published through the Program and available on request.\r\n
\r\n\r\n Maintain the quality of the solutions and Services Company offers in relation to the Erideon Marks\r\n and the Erideon Materials at a level commensurate with the quality of Services Company offered before the date of\r\n this Agreement. The quality of Company solutions and Services must also meet or exceed standards of quality and\r\n performance generally accepted in the industry.\r\n
\r\n\r\n Promptly correct any improper use of the Erideon Marks and deficiencies in the quality of its\r\n solutions and Services on notice from Erideon.\r\n
\r\n\r\n \r\n Referential use of trademarks.\r\n \r\n Company may use Erideon's corporate name, technology names and trademarks in plain text to accurately\r\n identify and refer to Erideon and its technology and Services. Company may not use the logos, trade dress, designs or\r\n word marks in stylized form. Such use must not cause confusion about the source of Company's solutions and Services\r\n or Company's relationship with Erideon.
\r\n\r\n \r\n Notices.\r\n \r\n Company must not remove any copyright, trademark or patent notices in or on Erideon Materials. Company\r\n must include Erideon's copyright notice on the labels for tangible media containing licensed Erideon technology.\r\n Company must also include Erideon's copyright notice on documentation for licensed Erideon technology, including\r\n online documentation. Company must use the right trademark, licensed Erideon technology descriptor and trademark symbol\r\n (either \"™\" or \"®\") when first mentioning a licensed Erideon technology name in any advertisement, brochure or other\r\n format. The mention must also indicate Erideon's (or Erideon suppliers) ownership of the trademark. Erideon's\r\n trademark usage guidelines are available on request.
\r\n\r\n \r\n No technology transfer arrangement.\r\n \r\n This Agreement does not create a \"technology transfer\" agreement because:
\r\n\r\n The technology (including any Products) made available under this Agreement is not an integrated\r\n part of a technology chain for production or management purposes; and\r\n
\r\n\r\n The technology (including any Products) will have its own technology license. Company will not\r\n hold itself out as Erideon's technology recipient. Company will not identify Erideon as a technology provider\r\n under this Agreement.\r\n
\r\n\r\n \r\n Reservation of rights.\r\n \r\n Erideon reserves all rights not expressly granted in this Agreement.
\r\n\r\n Program fee\r\n
\r\n\r\n Company agrees to pay Erideon the annual Program fee and other applicable benefit fees if it\r\n qualifies and enrols in the Program.\r\n
\r\n\r\n Price is an estimated price and is subject to variations, such as foreign exchange rates.\r\n
\r\n\r\n Taxes\r\n
\r\n\r\n \r\n Taxation.\r\n \r\n The amounts to be paid by Company to Erideon do not include any taxes. Company will pay Erideon any\r\n applicable value added, sales or use taxes or like taxes Company owes because it entered this Agreement and which\r\n the law requires Erideon to collect from Company. If Company provides Erideon with a valid exemption certificate,\r\n Erideon will not collect the taxes covered by that certificate. Erideon is not liable for any taxes that Company is\r\n legally obligated to pay, including but not limited to net income or gross receipts taxes, franchise taxes, and\r\n property taxes (\"Company Taxes\") which relate to the sale of goods and services under this Agreement. Company\r\n agrees to indemnify and hold Erideon harmless from Company taxes and any claims, costs (including reasonable\r\n attorneys' fees) and liabilities that relate to such taxes.
\r\n\r\n If the law requires Company to withhold taxes from payments made by Company to Erideon, Company\r\n may withhold such taxes and pay them to the appropriate taxing authority, provided that Company promptly delivers\r\n to Erideon an official receipt or other document necessary to allow Erideon to claim a \"Foreign Tax Credit\" or\r\n its equivalent. Company will ensure that it minimizes any taxes withheld to the extent allowed by law.\r\n
\r\n\r\n \r\n Tax treatment.\r\n \r\n Despite any other provision in this agreement, this Section 6(b) will govern the treatment of all\r\n taxes relating to this Agreement.
\r\n\r\n \r\n Term.\r\n \r\n This Agreement will take effect on the date Erideon accepts this Agreement (the \"Effective Date\"). The\r\n Agreement will continue for one year from the Effective Date (the \"Term\"), unless terminated earlier or superseded by a\r\n more recent signing of this Agreement. If Company upgrades to a different Membership Opportunity during the Term, the\r\n Effective Date will change to the date Erideon accepts the upgrade. If Company chooses to re-enrol in the Program on\r\n expiration of the Term, Company must do so on the Program Website.
\r\n\r\n \r\n Renewal.\r\n \r\n This Agreement will not renew automatically. Erideon may choose not to renew Company's membership in\r\n the Program.
\r\n\r\n \r\n Termination without cause.\r\n \r\n Either party may terminate this Agreement at any time, without cause, on 60 calendar days' notice.\r\n Neither party will be responsible to the other for costs or damages resulting from termination.
\r\n\r\n \r\n Termination for cause.\r\n \r\n If either party breaches any provision of this Agreement that is considered curable the non-breaching\r\n party will give 30 calendar days' e-mail or written notice for an opportunity to cure. If the cause for termination\r\n is not curable, termination will be effective on notice from the non-breaching party. Erideon retains its other rights\r\n and remedies. Company terminated for cause is ineligible to re-enrol in the Program.
\r\n\r\n \r\n Statutory form.\r\n \r\n Erideon reserves the right to either terminate or vary this Agreement if it is required to use a\r\n statutory form for modifications to the Agreement. Termination will be without its use and without any liability to\r\n Company.
\r\n\r\n \r\n Effect of termination or expiration.\r\n \r\n Upon termination or expiration, Company must immediately stop using any rights and benefits granted by\r\n this Agreement and the Program, and must return or destroy all Erideon Materials. Company will do one of the following\r\n within 10 days of termination or expiration and at Erideon's discretion:
\r\n\r\n Return all copies of documents and Materials containing customer information that Company received\r\n because of this Agreement. Company will also return the Erideon Materials and property in its possession or under\r\n its control; or\r\n
\r\n\r\n Destroy all such specified documents and Erideon Materials, including copies, and give Erideon a\r\n certificate of destruction signed by an officer of the Company. Termination of this Agreement will not terminate\r\n any unresolved prior support requests. This Agreement will continue to apply until such unresolved requests are\r\n resolved or otherwise closed.\r\n
\r\n\r\n \r\n Survival.\r\n \r\n Sections 4(e)(5)(v) (Distribution Indemnification and Additional Restrictions), 6(b) (Taxes), 7(h)\r\n (Survival), 8 (Confidentiality), 9 (Representation and warranties), 10 (Indemnification), 11 (Limitation of liability),\r\n 12(a) (Verifying compliance), and 13 (Miscellaneous) will survive the expiration or termination of this\r\n Agreement.
\r\n\r\n If the parties have an existing non-disclosure agreement, then that agreement, as well as Section 8(e)\r\n below, apply to information exchanges. If not, then the following applies.\r\n
\r\n\r\n \r\n Use of Confidential Information.\r\n \r\n For a period of five years after initial disclosure:
\r\n\r\n Neither party will disclose the other's Confidential Information to third parties. Each party will\r\n use such information only for purposes of this business relationship. Each party will take reasonable steps to\r\n protect the other's Confidential Information;\r\n
\r\n\r\n Each party may disclose the other's Confidential Information to its Affiliates employees,\r\n contractors. Such party remains responsible for any unauthorized use or disclosure. These disclosures may be made\r\n only on a need-to-know basis, subject to the obligations of this section.\r\n
\r\n\r\n Each party will return Confidential Information to the other party or destroy it at the other's\r\n request when it is no longer needed to perform under this Agreement.\r\n
\r\n\r\n \r\n Disclosure if required by law.\r\n \r\n Each party may disclose the other's Confidential Information if required to comply with a court order\r\n or other government demand that has the force of law. Before doing so, the disclosing party must seek the highest level\r\n of protection available and, when possible, give the other enough prior notice to provide a reasonable chance to seek a\r\n protective order.
\r\n\r\n \r\n Cooperation in the event of disclosure.\r\n \r\n Each party will immediately notify the other on discovery of unauthorized use or disclosure of\r\n Confidential Information. Each party will help the other party regain possession of the Confidential Information and\r\n prevent further unauthorized use or disclosure.
\r\n\r\n \r\n Right to use feedback.\r\n \r\n Either party may provide suggestions, comments or other feedback to the other party with respect to the\r\n other party's products and Services. Feedback is voluntary and, even if designated as confidential, the party\r\n receiving feedback may use it for any purpose without obligation of any kind. The party receiving feedback will not\r\n disclose the source of feedback without the consent of the party providing it. Unless the parties specifically agree in\r\n writing, feedback will not create any confidentiality obligation.
\r\n\r\n \r\n Lead generation and privacy.\r\n \r\n
\r\n\r\n Erideon may assist Company with sales lead generation and support. The assistance may include access to\r\n information, tools, templates and reports (e.g. the partner sales management system). Erideon may also share leads with\r\n Company that contain customer Personal Information. \"Personal Information\" or \"PII\" means any information that can be\r\n used to identify, contact, or locate a person. PII includes a person's name, address, e-mail address, phone number, fax\r\n number, financial information, account numbers, and government-issued ID numbers. PII also includes information\r\n associated or combined with PII (such as a personal profile, unique identifier, biometric information, or IP address).\r\n Company will only use Personal Information from Erideon-generated leads to sell products or Services of interest to the\r\n customer. Company will not use or share Personal Information from such leads for any other purpose unless Company first\r\n obtains customer's consent. Company will take reasonable security measures to protect such Personal Information from\r\n unauthorized use, access, disclosure, alteration or destruction, including by its vendors. Security measures will include\r\n access controls, encryption and any other security means that are legally required. Company may share leads with Erideon\r\n so that it can assist with Company's promotion and sale of Erideon products and Services. Company will comply with all\r\n applicable notice or consent laws before sharing the Personal Information with Erideon. All other Company data disclosed\r\n under the Program will be protected by the Privacy Statement at https://partner.erideon.com/.\r\n
\r\n\r\n Erideon warrants that it will use reasonable care and skill to administer the Program. Company's effort\r\n and resulting performance are under Company's control. Erideon does not guarantee Company's satisfaction with the\r\n Program or Company results. Except for loss and damage which cannot be limited or excluded under applicable law:\r\n
\r\n\r\n Erideon provides the Erideon Materials to Company \"as is,\" and without warranties of any kind;\r\n and\r\n
\r\n\r\n \r\n Disclaimer of warranties.\r\n \r\n Except as provided herein, Erideon expressly disclaims all other express, implied, or statutory\r\n warranties. This includes the warranties of merchantability, fitness for a particular purpose, title and\r\n noninfringement. Others that may be included are lack of viruses, quiet enjoyment, scope of license, lack of errors,\r\n satisfactory condition or quality. The disclaimer also includes any implied warranty or conditions arising from course\r\n of dealing or usage of trade.
\r\n\r\n Company will defend, indemnify and hold Erideon and its officers, directors, employees, contractors,\r\n Affiliates and agents harmless from any and all claims, suits, demands, costs, liabilities, expenses and damages\r\n (including reasonable attorneys' costs and fees) related to Company's or its agents' acts or omissions under this\r\n Agreement.\r\n
\r\n\r\n EITHER PARTY SHALL NOT BE LIABLE FOR ANY DAMAGES SUFFERED OR INCURRED BY THE OTHER PARTY OR ANY OF ITS\r\n PERSONNEL WHICH MAY ARISE (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE UNDER STATUTE OR OTHERWISE) BY REASON OF\r\n OR IN CONNECTION WITH THIS AGREEMENT.\r\n
\r\n\r\n TO THE EXTENT THE LIMITATION OF LIABILITY IN THIS CLAUSE IS NOT PERMITTED BY LAW, THEN THE AGGREGATE\r\n CUMULATIVE LIABILITY OF ERIDEON AND ALL ITS COMPANIES AND AFFILIATES SHALL NOT EXCEED THE PROGRAM FEE PURSUANT TO SECTION\r\n 6, WHETHER IN CONTRACT OR TORT (INCLUDING NEGLIGENCE OR BREACH OF STATUTORY DUTY) OR OTHERWISE ARISING OUT OF OR IN\r\n CONNECTION WITH THIS AGREEMENT.\r\n
\r\n\r\n TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT,\r\n INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR THAT RELATE IN ANY WAY TO THIS\r\n AGREEMENT OR ITS PERFORMANCE. THIS EXCLUSION WILL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM FOR SUCH\r\n DAMAGES IS BASED, WHETHER THE PARTIES HAD BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES, WHETHER SUCH DAMAGES WERE\r\n REASONABLY FORESEEABLE, OR WHETHER APPLICATION OF THE EXCLUSION CAUSES ANY REMEDY TO FAIL OF ITS ESSENTIAL PURPOSE.\r\n THIS EXCLUSION WILL NOT APPLY TO EITHER PARTY'S LIABILITY FOR BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, VIOLATION\r\n OF THE OTHER PARTY'S INTELLECTUAL PROPERTY RIGHTS, OR ANY DIRECT OR INDIRECT LOSS OF PROFITS, DATA, OR BUSINESS\r\n ANTICIPATED SAVINGS DUE TO FRAUD OR GROSS NEGLIGENCE.\r\n
\r\n\r\n Verifying compliance\r\n
\r\n\r\n Company will keep all usual and proper records in the ordinary course of business relating to its\r\n performance of this Agreement. Company will keep documents for the acquisition, delivery and destruction of\r\n licensed Products. These documents include:\r\n
\r\n\r\n Products delivered as part of the Programme; and\r\n
\r\n\r\n Erideon volume license Product keys that it authorizes Company to use under this\r\n Agreement.\r\n
\r\n\r\n Company will keep these documents during the Term, and for two years after this Agreement ends.\r\n During this period, Erideon may, at its discretion, engage an internal or a third party auditor to audit\r\n Company's books, records, operations, processes and facilities for the sole purpose of verifying Company's\r\n compliance with this Agreement. To the extent Company acquires Product licenses (\"Separate Product Licenses\")\r\n outside of the Program, compliance verifications will be controlled by the agreements that govern the Separate\r\n Product Licenses. Company consents to an audit of its records upon 5 business days' prior notice, except for\r\n audits related to counterfeit Products, which does not require prior notice. Erideon may validate all customer\r\n references supplied by Company according to the Program requirements.\r\n
\r\n\r\n If Company is using Erideon Course Materials, Erideon or a representative may audit Company's\r\n training using Erideon Course Materials (\"Erideon Courses\") without notice. Such audits may include a formal\r\n written critique of Company's trainers' software, technical knowledge, and delivery skills. The critique may\r\n also review the equipment, facilities, student rosters for Erideon Courses taught, Course Materials provided to\r\n students, and Course Materials inventory. Erideon will notify Company in writing if it determines that:\r\n
\r\n\r\n Company is not delivering Erideon Courses in a professional manner;\r\n
\r\n\r\n Company is not providing an effective learning environment or experience;\r\n
\r\n\r\n The facilities and equipment are not sufficient for quality training to occur; or\r\n
\r\n\r\n Course Materials acquisitions do not match the total number of students trained in Erideon\r\n Courses, Erideon Courses taught, and current Course Materials inventory. Erideon may terminate this Agreement\r\n if not cured according to Section 7(d) of this Agreement. Erideon may also terminate Company's Learning\r\n Solutions competency status.\r\n
\r\n\r\n Audits will be conducted during Company's normal business hours in a manner that does not\r\n unreasonably interfere with Company's normal business activities. Company will give the auditor access to the\r\n books, records, operations, processes and facilities that the auditor needs to complete a thorough audit. Company\r\n will have all applicable books, records and operations available to the auditor at the beginning of the audit if\r\n Erideon provides advance notice. Erideon and its third party auditors will conduct all inspections accompanied by\r\n a Company employee. Company will pay Erideon's audit costs if an audit uncovers a terminable breach of this\r\n Agreement as defined in the Section 7(d) or a discrepancy of 5% or more in Company's use of license benefits\r\n during the applicable audit period. If an audit reveals unlicensed Product use, Company must, at Erideon's\r\n discretion, either remove the unlicensed Product, or acquire the necessary additional licenses at single retail\r\n license cost within 30 days.\r\n
\r\n\r\n \r\n Advertising and publicity.\r\n \r\n Erideon may only use Company's name, corporate logos, or identity in advertisements or promotions for\r\n the Program with Company's consent. Company will not unreasonably withhold or delay its consent. Company will be\r\n deemed to grant its consent if it does not respond to Erideon's request within 7 calendar days.
\r\n\r\n \r\n Business purposes.\r\n \r\n Company enters this Agreement and acquires the related Services and Program Materials for business\r\n purposes only subject to the Program requirements.
\r\n\r\n \r\n Relationship of parties.\r\n \r\n Any use of the term \"partner\" is for reference purposes only. The parties are independent contractors.\r\n This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency relationship\r\n and does not create a franchise. Neither Company nor any of its representatives may make any representation, warranty\r\n or promise on Erideon's behalf.
\r\n\r\n \r\n Notices.\r\n \r\n Notices may be provided either by electronic or physical mail. The contact person(s) identified during\r\n enrolment in the Program profile will receive notices at the address provided by Company. Each party may change the\r\n persons to whom notices will be sent by giving notice to the other.
\r\n\r\n \r\n Applicable law.\r\n \r\n This agreement shall be interpreted, construed and governed by the laws of the Republic of\r\n Singapore.
\r\n\r\n \r\n Mediation.\r\n \r\n
\r\n\r\n Notwithstanding anything in this Agreement, in the event of any dispute, claim, question or\r\n disagreement arising out of or relating to this Supply Contract, no Party shall proceed to litigation or any\r\n other form of dispute resolution unless the Parties have made reasonable efforts to resolve the same through\r\n mediation in accordance with the mediation rules of the Singapore Mediation Centre.\r\n
\r\n\r\n A Party who receives a notice for mediation from the other Party shall consent and participate in\r\n the mediation process in accordance with Clause (i).\r\n
\r\n\r\n Failure to comply with Clause (i) and (ii) shall be deemed to be a breach of contract.\r\n
\r\n\r\n \r\n Attorneys' fees.\r\n \r\n If either Erideon or Company employs attorneys to enforce any rights arising out of or relating to this\r\n Agreement, the prevailing party will be entitled to recover its reasonable attorneys' fees, costs and other expenses,\r\n including the costs and fees incurred on appeal or in a bankruptcy or similar action.
\r\n\r\n Compliance with laws\r\n
\r\n\r\n \r\n Export restrictions.\r\n \r\n Each of the parties acknowledges that the hardware and software (collectively, \"Materials\") of the\r\n other are subject to Singapore export jurisdiction. Each party will comply with all applicable international and\r\n national laws that apply to the other party's Materials, including applicable export administration regulations,\r\n as well as end-user, end use and destination restrictions by Singapore and other governments.
\r\n\r\n \r\n Compliance with laws and Anti-Corruption Policy.\r\n \r\n Company will comply with all applicable laws against bribery, corruption and money-laundering,\r\n including the U.S. Foreign Corrupt Practices Act (\"Anti-Corruption Laws\"). Erideon can hire a third-party auditor\r\n if it has a good faith reason to believe Company or its representatives are in violation of the Anti-Corruption\r\n Laws. The third-party auditor will:
\r\n\r\n Investigate the suspected violations (\"Anti-Corruption Audit\"); and\r\n
\r\n\r\n Report its Anti-Corruption Audit findings solely to Erideon. Company will fully participate\r\n and assist in any Anti-Corruption Audit. Company will make all books, records and employees promptly\r\n available to assist the third-party auditor. Erideon may terminate this Agreement if Company fails to comply\r\n with this provision. Erideon will not be liable for damages resulting from such termination.\r\n
\r\n\r\n \r\n Compliance with the Erideon Partner Network Statement of Business Principles.\r\n \r\n Company will comply with the terms of the Erideon Partner Network Statement of Business Principles\r\n as outlined in Exhibit A.
\r\n\r\n \r\n Assignment.\r\n \r\n Either party may assign this Agreement to an Affiliate. If either party assigns this Agreement, it must\r\n notify the other in writing. Erideon's publishing of such assignment on Programme Website is deemed sufficient\r\n fulfilment of notice. Any other assignment requires prior written approval of the other party.
\r\n\r\n \r\n Waiver.\r\n \r\n A party's delay or failure to exercise any right or remedy will not result in a waiver of that or any\r\n other right or remedy.
\r\n\r\n \r\n Severability.\r\n \r\n If any court of competent jurisdiction determines that any provision of this Agreement is illegal,\r\n invalid or unenforceable, the remaining provisions will remain in full force and effect.
\r\n\r\n Integration and modification.\r\n
\r\n\r\n \r\n Entire Agreement.\r\n \r\n This Agreement (including any exhibits) \r\n \r\n and the Partner Website\r\n \r\n form the entire agreement between the parties regarding the Program. It replaces all prior\r\n agreements, communications and representations between the parties regarding the Program.
\r\n\r\n \r\n Amendment.\r\n \r\n This Agreement can be changed only by an amendment signed by both parties.
\r\n\r\n \r\n Language.\r\n \r\n The language governing this Agreement is English.
\r\n\r\n \r\n Order of precedence: Program Website, Addenda.\r\n \r\n If there is a direct conflict between the Agreement and the Program Website not resolved explicitly on\r\n the face of those documents, then the Agreement will control, but only to the extent of that conflict. If a particular\r\n subject is addressed in the Program Website and not in the Agreement, then the terms of the Program Website will\r\n control. If there is a direct conflict between the Agreement and any separate addendum to the Agreement not resolved\r\n explicitly on the face of those documents, the terms of the addendum will control, but only to the extent of that\r\n conflict. If a particular subject is addressed in the addendum to the Agreement and not in the Agreement, then the\r\n terms of the addendum will control.
\r\n\r\n \r\n Erideon contracting entity.\r\n \r\n The Erideon contracting entity for this Agreement is Erideon Private Limited a company incorporated\r\n under the laws of the Republic of Singapore under company registration number 200605830R and having its registered\r\n office at 7500A Beach Road #11-310 Singapore 199591, and includes its successors and assigns.
\r\n\r\n \r\n Erideon Partner Network Statement of Business Principles\r\n \r\n
\r\n\r\n The members of the Program provide customers with Erideon Products, support and solutions based on Erideon\r\n technologies. Erideon collaborates with the Program members in those activities. Therefore, it is important for Erideon\r\n that Company shares its values. Company must observe this Erideon Partner Program Statement of Business Principles.\r\n Company will have integrity in all its interactions. Company interacts with a variety of individuals and groups and must\r\n be committed to interacting with them in a respectful, ethical manner. Company must ensure that all communications to its\r\n customers be truthful, accurate, and not misleading. Company may not make or attempt to make any unauthorized commitment\r\n on behalf of Erideon. Company will run its Erideon-related business in compliance with its Erideon agreement(s).\r\n
\r\n\r\n Company will run its business in compliance with applicable laws and regulatory requirements. In addition\r\n to any specific obligations under this Agreement or any separate agreement(s), Company must:\r\n
\r\n\r\n conduct its business activities with Erideon in full compliance with applicable laws and\r\n regulations;\r\n
\r\n\r\n conduct its business in Erideon-related activities in full compliance with applicable laws and\r\n regulations;\r\n
\r\n\r\n comply with the laws and regulations that govern the rights to and protection of Erideon copyrights,\r\n trademarks, patents, trade secrets, and other forms of intellectual property;\r\n
\r\n\r\n must honestly and accurately record and report all business information and comply will all\r\n applicable laws regarding their completion and accuracy; and\r\n
\r\n\r\n comply with all applicable anti-bribery laws and must not, directly or indirectly, make or offer\r\n bribes, kickbacks, or other payments to any third party, for the purpose of wrongfully obtaining or retaining\r\n business related to Erideon Products.\r\n
\r\n\r\n Enforcement of and Compliance Verification with the Statement of Business. Erideon intends to enforce the\r\n terms of the Statement of Business Principles in accordance with the terms of this Agreement. In addition, Company is\r\n expected to self-monitor its compliance with the Statement of Business Principles.\r\n
\r\n\r\n Compliance Acknowledgement. Company is required, as a condition for maintaining its enrolment in the\r\n Program, to acknowledge its obligation to comply with the Statement of Business Principles.\r\n
\r\n\r\n Reporting Issues. Company may report any issue related to this Statement of Business Principles, including\r\n any request by an Erideon representative for Company to act in a manner that conflicts with this Statement of Business\r\n Principles or this Agreement, by using any of the resources listed below. Company is encouraged to work with its primary\r\n Erideon contact in resolving a business practice or compliance concern. However, Erideon recognizes that there may be\r\n times when this is not possible or appropriate. In such instances, please contact Erideon using telephone, fax or email\r\n as detailed at http://www.erideon.com/.\r\n

1. \r\nYou\r\nhave full an irrevocable authority to act for the Organisation, including\r\nrights not lesser than the power of attorney to enter into legally binding\r\nAgreements on behalf of the Organisation.
2. \r\nYou\r\ndeclare and agree, on behalf of the Organisation, to enter into the Erideon\r\nInteract Marketplace Agreement (\"Agreement\"), the full content of which is\r\nannexed hereto.
3. \r\nYou\r\ndeclare and agree to confer the same rights and responsibilities contained in\r\nthis preamble and the Agreement to any other Erideon Account whom you approve\r\nfor association with the Organisation, and who is at any point in time given\r\nAdministrative rights for that organisation.
4. \r\nYou\r\nnote and agree that the Organisation association is subject to approval at the\r\nsole discretion of Erideon Private Limited (\"Erideon\"), such approval being\r\nrevocable with or without notice at the sole discretion of Erideon.

Payments, Taxes, and Refund Policy

The Interact Marketplace services (\"Services\") accept\r\nthese forms of payment:

Where this Agreement references forms of payment not\r\nlisted above, such references are to be construed for information only with no\r\nmaterial impact on the Agreement save for the option, at Erideon's sole discretion,\r\nto add such form of payment into the list at a future date.
\r\n\r\n
Forms of payment may be revised by Erideon from time\r\nto time at its sole discretion and without prior announcement. If a credit card\r\nor your PayPal account is being used for a transaction, Erideon may obtain\r\npreapproval for an amount up to the amount of the order. Billing occurs at the\r\ntime of or shortly after your transaction. If you are using your PayPal\r\naccount, your order may be authorized and billed in increments during one\r\npurchasing session, so it may appear as multiple orders on your statement. If\r\nother forms of payment, which may be added by Erideon from time to time, are\r\nused for a transaction, the amount is deducted at the time of your transaction.\r\nWhen making purchases, Erideon may, at its sole discretion, determine the order\r\nin which payment methods are applied; your credit card or PayPal account is\r\nthen charged for any remaining balance.
\r\n\r\n
You agree that you will pay for all products you\r\npurchase through the Services, and that Erideon may charge your credit card or\r\nPayPal account for any products purchased and for any additional amounts\r\n(including any taxes and late fees, as applicable) that may be accrued by or in\r\nconnection with your Account. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL\r\nFEES AND FOR PROVIDING ERIDEON WITH A VALID CREDIT CARD OR PAYPAL ACCOUNT\r\nDETAILS FOR PAYMENT OF ALL FEES. All fees will be billed to the credit card or\r\nPayPal account you designate during the registration process. If you want to\r\ndesignate a different credit card or if there is a change in your credit card\r\nor PayPal account status, you must change your information online in the\r\nAccount Information section of Interact Marketplace; this may temporarily\r\ndisrupt your access to the Services while Erideon verifies your new payment\r\ninformation.
\r\n\r\n
Your total price will include the price of the product\r\nplus any applicable sales tax; such sales tax is based on the bill-to address\r\nand the sales tax rate in effect at the time you download the product. We will\r\ncharge tax only in regions where digital goods are taxable. Taxability\r\nassessment is based entirely and exclusively on the laws of the Republic of\r\nSingapore, being the domicile of Interact Marketplace.

All sales and rentals of products are final.
\r\n\r\n
Prices for products offered via the Services may\r\nchange at any time, and the Services do not provide price protection or refunds\r\nin the event of a price reduction or promotional offering.

If a product becomes unavailable following a\r\ntransaction but prior to download, your sole remedy is a refund. If technical\r\nproblems prevent or unreasonably delay delivery of your product, your exclusive\r\nand sole remedy is either replacement or refund of the price paid, as\r\ndetermined by Erideon.

Gift Certificates, Gift Cards, Allowances, and Content\r\nCodes

Gift Certificates, Gift Cards, and Allowances are\r\nissued and managed by Erideon Value Services Private Limited (\"Issuer\").

Gift Certificates, Gift Cards, Content Codes, and\r\nAllowances, in addition to unused balances, are not redeemable for cash and\r\ncannot be returned for a cash refund (except as required by law); exchanged;\r\nresold; used to purchase Gifts, Gift Certificates, or Gift Cards; used to\r\nprovide Allowances. Unused balances are not transferable.

Gift Certificates, Gift Cards, Content Codes, and\r\nAllowances may be redeemed through the Services only in the country of\r\npurchase, or as otherwise determined by Erideon at its sole discretion.

The Gift Certificate/Gift Card cash value is 1/10 of\r\none cent.
\r\n\r\n
Neither Issuer nor Erideon is responsible for lost or\r\nstolen Gift Certificates, Gift Cards, Content Codes, or Allowances.

Erideon reserves the right to close accounts and\r\nrequest alternative forms of payment if a Gift Certificate, Gift Card, Content\r\nCode, or Allowance is fraudulently obtained or used on the Service.

ERIDEON, ISSUER, AND THEIR LICENSEES, AFFILIATES, AND\r\nLICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT\r\nCERTIFICATES, GIFT CARDS, CONTENT CODES, ALLOWANCES, OR THE INTERACT\r\nMARKETPLACE, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF\r\nMERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT THAT A GIFT\r\nCERTIFICATE, GIFT CARD, CONTENT CODE, OR ALLOWANCE IS NON-FUNCTIONAL, YOUR SOLE\r\nREMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH GIFT\r\nCERTIFICATE, GIFT CARD, CONTENT CODE, OR ALLOWANCE. THESE LIMITATIONS MAY NOT\r\nAPPLY TO YOU. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES\r\nOR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. Electronic Contracting

The Interact Marketplace Service

Erideon is the provider of the Service, which permits\r\nyou to purchase or rent digital content (\"Products\") for end user use\r\nonly under the terms and conditions set forth in this Agreement.

Requirements for Use of the Service
\r\n\r\n
This Service is available for individuals aged 18\r\nyears or older.
\r\n\r\n
The Service is available to you only in the locations\r\ndesignated during sign-up process. You agree not to use or attempt to use the\r\nService from outside these locations. Erideon may use technologies to verify\r\nyour compliance. List of available locations may change from time to time,\r\nwithout prior notice. Where locations have been removed, pre-arranged Services\r\nwill continue until the next rollover date.
\r\n\r\n
Use of the Service requires compatible devices,\r\nInternet access, and certain software (fees may apply); may require periodic\r\nupdates; and may be affected by the performance of these factors. High-speed Internet\r\naccess is strongly recommended for regular use and may be mandatory for certain\r\napplications or services. The latest version of the Interact Marketplace is\r\nrecommended to access the Service and may be required for certain transactions\r\nor features and to download Products previously purchased from the Service. You\r\nagree that these requirements, which may change from time to time, are your\r\nresponsibility. The Service is not part of any other product or offering, and\r\nno purchase or obtaining of any other product shall be construed to represent\r\nor guarantee you access to the Service.

Your Account
\r\n\r\n
As a registered user of the Service, you may establish\r\nan account (\"Account\"). Don't reveal your Account information to\r\nanyone else. You are solely responsible for maintaining the confidentiality and\r\nsecurity of your Account and for all activities that occur on or through your\r\nAccount, and you agree to immediately notify Erideon of any security breach of\r\nyour Account. Erideon shall not be responsible for any losses arising out of\r\nthe unauthorized use of your Account.

You agree to provide accurate and complete information\r\nwhen you register with, and as you use, the Service (\"Registration\r\nData\"), and you agree to update your Registration Data to keep it accurate\r\nand complete. You agree that Erideon may store and use the Registration Data\r\nyou provide for use in maintaining and billing fees to your Account.

Privacy

Except as otherwise stated in this Agreement, the\r\nService is subject to Erideon's Privacy Policy at http://www.erideon.com/.
\r\n\r\n
When you use Interact Marketplace, Erideon will, from\r\ntime to time, automatically collect information that can be used to identify\r\nuse of and applications in your Interact Marketplace library. This includes\r\napplications purchased through Interact Marketplace as well as Interact\r\napplications obtained from other sources. This information will be stored\r\nanonymously and not associated with your name or Account. Erideon will use this\r\ninformation, as well as other information, to give personalized recommendations\r\nto you.
\r\n\r\n
Erideon may only use this information and combine it\r\nwith aggregated information from the Interact Marketplace libraries of other\r\nusers who also opt in to this feature, your Interact Marketplace purchase\r\nhistory data, aggregated purchase history data from other Interact Marketplace\r\nusers, and other information obtained from third parties, to:
\r\n\r\n
• Create personalized experience for you from your\r\nInteract Marketplace library.
\r\n\r\n
• Provide you with recommendations regarding\r\napplications and other products and services that you may wish to purchase.
\r\n\r\n
• Provide recommendations regarding products and\r\nservices to other users.
\r\n\r\n
At all times your information will be treated in\r\naccordance with Erideon's Privacy Policy.
\r\n\r\n
Content Availability
\r\n\r\n
Erideon reserves the right to change content options\r\n(including eligibility for particular features) without notice.
\r\n\r\n
Use of Purchased or Rented Content
\r\n\r\n
You agree that the Service and certain Products\r\ninclude security technology that limits your use of Products and that, whether\r\nor not Products are limited by security technology, you shall use Products in\r\ncompliance with the applicable usage rules established by Erideon and its\r\nlicensors (\"Usage Rules\"), and that any other use of the Products may\r\nconstitute a copyright infringement. Any security technology is an inseparable\r\npart of the Products. Erideon reserves the right to modify the Usage Rules at any\r\ntime. You agree not to violate, circumvent, reverse-engineer, decompile,\r\ndisassemble, or otherwise tamper with any of the security technology related to\r\nsuch Usage Rules for any reason—or to attempt or assist another person to do\r\nso. Usage Rules may be controlled and monitored by Erideon for compliance\r\npurposes, and Erideon reserves the right to enforce the Usage Rules without\r\nnotice to you. You agree not to access the Service by any means other than\r\nthrough software that is provided by Erideon for accessing the Service. You\r\nshall not access or attempt to access an Account that you are not authorized to\r\naccess. You agree not to modify the software in any manner or form, or to use\r\nmodified versions of the software, for any purposes including obtaining unauthorized\r\naccess to the Service. Violations of system or network security may result in\r\ncivil or criminal liability.

Usage Rules
\r\n\r\n
(i) You shall be authorized to use Products only for\r\npersonal, non-commercial use.
\r\n\r\n
(ii) You shall be authorized to use Products only with\r\nactive license of Erideon Interact Foundation of appropriate version.
\r\n\r\n
(iii) You shall be able to store Products only as part\r\nof Erideon Interact Foundation; Products cannot be exported without prior\r\nwritten permission from Erideon.
\r\n\r\n
(iv) Interact Marketplace Products that do not contain\r\nsecurity technology that limits your usage of such Products must nevertheless\r\nbe used in compliance of the Usage Rules.
\r\n\r\n
Products may be downloaded only once and cannot be\r\nreplaced if lost for any reason. Once a Product is downloaded, it is your\r\nresponsibility not to lose, destroy, or damage it, and Erideon shall not be\r\nliable to you if you do so.
\r\n\r\n
The delivery of Products does not transfer to you any\r\ncommercial or promotional use rights in the Products. Any exporting\r\ncapabilities are solely an accommodation to you and shall not constitute a\r\ngrant, waiver, or other limitation of any rights of the copyright owners in any\r\ncontent embodied in any Product.
\r\n\r\n
You acknowledge that, because some aspects of the Service,\r\nProducts, and administration of the Usage Rules entails the ongoing involvement\r\nof Erideon, if Erideon changes any part of or discontinues the Service, which\r\nErideon may do at its election, you may not be able to use Products to the same\r\nextent as prior to such change or discontinuation, and that Erideon shall have\r\nno liability to you in such case.

Submissions to the Service

The Service may offer interactive features that allow\r\nyou to submit materials (including links to third-party content) on areas of\r\nthe Service accessible and viewable by the public. You agree that any use by\r\nyou of such features, including any materials submitted by you, shall be your\r\nsole responsibility, shall not infringe or violate the rights of any other\r\nparty or violate any laws, contribute to or encourage infringing or otherwise\r\nunlawful conduct, or otherwise be obscene, objectionable, or in poor taste. You\r\nalso agree that you have obtained all necessary rights and licenses. You agree\r\nto provide accurate and complete information in connection with your submission\r\nof any materials on the Service. You hereby grant Erideon a worldwide,\r\nroyalty-free, non-exclusive license to use such materials as part of the\r\nService, and in relation to Products, without any compensation or obligation to\r\nyou. Erideon reserves the right to not post or publish any materials, and to\r\nremove or edit any material, at any time in its sole discretion without notice\r\nor liability.

Certain content, Products, and services available via\r\nthe Service may include materials from third parties. Erideon may provide links\r\nto third-party websites as a convenience to you. You agree that Erideon is not\r\nresponsible for examining or evaluating the content or accuracy and Erideon\r\ndoes not warrant and will not have any liability or responsibility for any\r\nthird-party materials or websites, or for any other materials, products, or\r\nservices of third parties. You agree that you will not use any third-party\r\nmaterials in a manner that would infringe or violate the rights of any other\r\nparty and that Erideon is not in any way responsible for any such use by you.

You understand that by using the Service, you may\r\nencounter material that you may deem to be offensive, indecent, or\r\nobjectionable, and that such content may or may not be identified as having\r\nexplicit material. Product types and descriptions are\r\nprovided for convenience, and you agree that Erideon does not guarantee their accuracy.

You agree that the Service, including but not limited\r\nto Products, graphics, user interface, audio clips, video clips, editorial\r\ncontent, and the scripts and software used to implement the Service, contains\r\nproprietary information and material that is owned by Erideon and/or its\r\nlicensors, and is protected by applicable intellectual property and other laws,\r\nincluding but not limited to copyright. You agree that you will not use such\r\nproprietary information or materials in any way whatsoever except for use of\r\nthe Service in compliance with this Agreement. No portion of the Service may be\r\nreproduced in any form or by any means, except as expressly permitted in these\r\nterms. You agree not to modify, rent, lease, loan, sell, distribute, or create\r\nderivative works based on the Service in any manner, and you shall not exploit\r\nthe Service in any unauthorized way whatsoever, including, but not limited to,\r\nby trespass or burdening network capacity.
\r\n\r\n
Notwithstanding any other provision of this Agreement,\r\nErideon and its licensors reserve the right to change, suspend, remove, or\r\ndisable access to any Products, content, or other materials comprising a part\r\nof the Service at any time without notice. In no event will Erideon be liable for\r\nmaking these changes. Erideon may also impose limits on the use of or access to\r\ncertain features or portions of the Service, in any case and without notice or\r\nliability.
\r\n\r\n
All copyrights in and to the Service (including the\r\ncompilation of content, postings, links to other Internet resources, and\r\ndescriptions of those resources) and related software are owned by Erideon\r\nand/or its licensors, who reserve all their rights in law and equity. THE USE\r\nOF THE SOFTWARE OR ANY PART OF THE SERVICE, EXCEPT FOR USE OF THE SERVICE AS\r\nPERMITTED IN THIS AGREEMENT, IS STRICTLY PROHIBITED AND INFRINGES ON THE\r\nINTELLECTUAL PROPERTY RIGHTS OF OTHERS AND MAY SUBJECT YOU TO CIVIL AND\r\nCRIMINAL PENALTIES, INCLUDING POSSIBLE MONETARY DAMAGES, FOR COPYRIGHT\r\nINFRINGEMENT.

Erideon, the Erideon logo, Interact Marketplace, and\r\nother Erideon trademarks, service marks, graphics, and logos used in connection\r\nwith the Service are trademarks or registered trademarks of Erideon Private\r\nLimited in the Republic of Singapore and/or other countries. Other trademarks,\r\nservice marks, graphics, and logos used in connection with the Service may be\r\nthe trademarks of their respective owners. You are granted no right or license\r\nwith respect to any of the aforesaid trademarks and any use of such trademarks.
\r\n\r\n
As an Account holder of the Service in good standing,\r\nyou may be provided with limited access to download certain supplementary\r\nmaterials related to the applications in your Interact Marketplace Library.\r\nSuch access is provided as an accommodation only, and Erideon does not warrant,\r\nand will not have any liability or responsibility for, such supplementary\r\nmaterials or your use thereof. Supplementary materials are provided for\r\npersonal, non-commercial use only. You agree that you will not use such materials\r\nin any manner that would infringe or violate this Agreement or the rights of\r\nany other party, and that Erideon is not in any way responsible for any such\r\nuse by you.
\r\n\r\n
Termination
\r\n\r\n
If you fail, or Erideon suspects that you have failed,\r\nto comply with any of the provisions of this Agreement, Erideon, at its sole\r\ndiscretion, without notice to you may: (i) terminate this Agreement and/or your\r\nAccount, and you will remain liable for all amounts due under your Account up\r\nto and including the date of termination; and/or (ii) terminate the license to\r\nthe software; and/or (iii) preclude access to the Service (or any part\r\nthereof).
\r\n\r\n
Erideon reserves the right to modify, suspend, or\r\ndiscontinue the Service (or any part or content thereof) at any time with or\r\nwithout notice to you, and Erideon will not be liable to you or to any third\r\nparty should it exercise such rights.
\r\n\r\n
Disclaimer of Warranties; Liability Limitation
\r\n\r\n
ERIDEON DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT\r\nYOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT\r\nFROM TIME TO TIME ERIDEON MAY REMOVE THE SERVICE FOR INDEFINITE PERIODS OF\r\nTIME, OR CANCEL THE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU.

YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO\r\nUSE, THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL PRODUCTS AND\r\nSERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE (EXCEPT AS EXPRESSLY STATED\r\nBY ERIDEON) PROVIDED \"AS IS\" AND \"AS AVAILABLE\" FOR YOUR\r\nUSE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL\r\nIMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,\r\nAND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF\r\nIMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO\r\nYOU.

ERIDEON SHALL USE REASONABLE EFFORTS TO PROTECT\r\nINFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES, BUT YOU AGREE\r\nTHAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND ERIDEON\r\nHEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY\r\nRELATING TO SUCH INFORMATION IN ANY WAY.

ERIDEON DOES NOT REPRESENT OR GUARANTEE THAT THE\r\nSERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE,\r\nHACKING, OR OTHER SECURITY INTRUSION, AND ERIDEON DISCLAIMS ANY LIABILITY\r\nRELATING THERETO. PRODUCTS CAN BE DOWNLOADED ONLY ONCE; AFTER BEING DOWNLOADED,\r\nTHEY CANNOT BE REPLACED IF LOST FOR ANY REASON. YOU SHALL BE RESPONSIBLE FOR\r\nBACKING UP YOUR OWN SYSTEM, INCLUDING ANY PRODUCTS PURCHASED OR RENTED FROM THE\r\nINTERACT MARKETPLACE THAT ARE STORED IN YOUR SYSTEM.

Waiver and Indemnity

BY USING THE SERVICE, YOU AGREE TO INDEMNIFY AND HOLD\r\nERIDEON, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS,\r\nAND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF\r\nTHIS AGREEMENT, YOUR USE OF THE SERVICE, OR ANY ACTION TAKEN BY ERIDEON AS PART\r\nOF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT\r\nOF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED.\r\nTHIS MEANS THAT YOU CANNOT SUE OR RECOVER ANY DAMAGES FROM ERIDEON, ITS\r\nDIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS\r\nAS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR\r\nCONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICE, OR TO\r\nTAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A\r\nRESULT OF ERIDEON'S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED.\r\nTHIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR\r\nCONTEMPLATED BY THIS AGREEMENT.

Changes
\r\n\r\n
Erideon reserves the right at any time to modify this\r\nAgreement and to impose new or additional terms or conditions on your use of\r\nthe Service. Such modifications and additional terms and conditions will be\r\neffective immediately and incorporated into this Agreement. Your continued use\r\nof the Service will be deemed acceptance thereof.
\r\n\r\n
Miscellaneous
\r\n\r\n
This Agreement constitutes the entire agreement\r\nbetween you and Erideon and governs your use of the Service, superseding any\r\nprior agreements between you and Erideon. You also may be subject to additional\r\nterms and conditions that may apply when you use affiliate services,\r\nthird-party content, or third-party software. If any part of this Agreement is\r\nheld invalid or unenforceable, that portion shall be construed in a manner\r\nconsistent with applicable law to reflect, as nearly as possible, the original\r\nintentions of the parties, and the remaining portions shall remain in full\r\nforce and effect. Erideon's failure to enforce any right or provisions in this\r\nAgreement will not constitute a waiver of such or any other provision. Erideon\r\nwill not be responsible for failures to fulfil any obligations due to causes\r\nbeyond its control.

The Service is operated by Erideon from its offices in\r\nthe Republic of Singapore. You agree to comply with all local, state, federal,\r\nand national laws, statutes, ordinances, and regulations that apply to your use\r\nof the Service. All transactions on the Service are governed by the law of the\r\nRepublic of Singapore, without giving effect to its conflict of law provisions.\r\nYour use of the Service may also be subject to other laws. You expressly agree\r\nthat exclusive jurisdiction for any claim or dispute with Erideon or relating\r\nin any way to your use of the Service resides in the courts of the Republic of\r\nSingapore. Risk of loss and title for all electronically delivered transactions\r\npass to the purchaser in the Republic of Singapore upon electronic transmission\r\nto the recipient. No Erideon employee or agent has the authority to vary this\r\nAgreement.
\r\n\r\n
Erideon may notify you with respect to the Service by\r\nsending an email message to your Account email address or a letter via postal\r\nmail to your Account mailing address, or by a posting on the Service. Notices\r\nshall become effective immediately.
\r\n\r\n
Erideon reserves the right to take steps Erideon\r\nbelieves are reasonably necessary or appropriate to enforce and/or verify\r\ncompliance with any part of this Agreement. You agree that Erideon has the\r\nright, without liability to you, to disclose any Registration Data and/or\r\nAccount information to law enforcement authorities, government officials,\r\nand/or a third party, as Erideon believes is reasonably necessary or\r\nappropriate to enforce and/or verify compliance with any part of this Agreement\r\n(including but not limited to Erideon's right to cooperate with any legal\r\nprocess relating to your use of the Service and/or Products, and/or a\r\nthird-party claim that your use of the Service and/or Products is unlawful\r\nand/or infringes such third party's rights).
\r\n\r\n
License of Interact Marketplace Products
\r\n\r\n
The software products made available through the\r\nInteract Marketplace (collectively, the \"Interact Marketplace Products\") are\r\nlicensed, not sold, to you. There are two (2) categories of Interact\r\nMarketplace Products, as follows: (i) those Interact Marketplace Products that\r\nhave been developed, and are licensed to you, by Erideon (the \"Erideon\r\nProducts\"); and (ii) those Interact Marketplace Products that have been\r\ndeveloped, and are licensed to you, by a third-party developer (the\r\n\"Third-Party Products\"). The category of a particular Interact Marketplace\r\nProduct (Erideon Product or Third-Party Product) is identified on the Interact\r\nMarketplace.
\r\n\r\n
Your license to each Interact Marketplace Product is\r\nsubject to the Licensed Application End User License Agreement set forth below.\r\nYou agree that the terms of the Licensed Application End User License Agreement\r\nwill apply to each Erideon Product and to each Third-Party Product that you\r\nlicense through the Interact Marketplace Service, unless the Interact\r\nMarketplace Product is covered by a valid end user license agreement entered\r\ninto between you and the licensor of the Interact Marketplace Product (the\r\n\"Licensor\"), in which case the Licensor's end user license agreement will apply\r\nto that Interact Marketplace Product. The Licensor reserves all rights in and\r\nto the Interact Marketplace Product not expressly granted to you.
\r\n\r\n
You acknowledge that the license you purchase to each\r\nErideon Product that you obtain through the Services is a binding agreement\r\nbetween you and Erideon. You acknowledge that: you are purchasing the license\r\nto each Third-Party Product from the third-party licensor of that Third-Party\r\nProduct (the \"Application Provider\"); Erideon is acting as agent for the\r\nApplication Provider in providing each such Third-Party Product to you; and\r\nErideon is not a party to the license between you and the Application Provider\r\nwith respect to that Third-Party Product. The Application Provider of each\r\nThird-Party Product is solely responsible for that Third-Party Product, the\r\ncontent therein, any warranties to the extent that such warranties have not\r\nbeen disclaimed, and any claims that you or any other party may have relating\r\nto that Third-Party Product.
\r\n\r\n
You acknowledge and agree that Erideon and its\r\nsubsidiaries are third-party beneficiaries of the Licensed Application End User\r\nLicense Agreement or the Application Provider's end user license agreement, as\r\nthe case may be, for each Third-Party Product. You also agree that, upon your\r\nacceptance of the terms and conditions of the license to any such Third-Party\r\nProduct, Erideon will have the right (and will be deemed to have accepted the\r\nright) to enforce such license against you as a third-party beneficiary\r\nthereof.
\r\n\r\n
Certain Interact Marketplace Products may include\r\nfunctionality that enables you to purchase additional services, or licenses to\r\nadditional functionality or content for use within the Interact Marketplace\r\nProduct (\"In App Purchases\"). In App Purchases that are consumed\r\nduring the use of the Interact Marketplace Product (for example, module\r\nextensions) cannot be transferred among deployments; can be downloaded only\r\nonce; and after being downloaded, cannot be replaced. Once a consumable In App\r\nPurchase is purchased and received by you, Erideon shall be without liability\r\nto you in the event of any loss, destruction, or damage. All In App Purchases\r\nare deemed Interact Marketplace Products, and In App Purchases made within\r\nThird-Party Products are deemed Third-Party Products, and treated as such, for\r\npurposes of these terms and conditions.

Interact Marketplace Product Usage Rules
\r\n\r\n
Except as otherwise set forth herein,
\r\n\r\n
(i) You may download or sync a Product from the\r\nInteract Marketplace (\"Interact Marketplace Product\") for personal,\r\nnon-commercial use on an appropriately-licensed Erideon Interact Live\r\nFoundation you own or control (\"Interact Foundation\").
\r\n\r\n
(ii) If you are a commercial enterprise or educational\r\ninstitution, you may download or sync and Interact Marketplace Product for use\r\neither (a) by a single individual on each of the Interact Foundation(s) that\r\nyou own or control, or (b) by multiple individuals on a single shared Interact\r\nFoundation that you own or control within the relevant licensing restrictions.
\r\n\r\n
(iii) Use may require sign-in with your Account used\r\nto download the Interact Marketplace Product from the Interact Marketplace.\r\nInteract Marketplace Products can be updated through the Interact Marketplace\r\nor Interact Foundation only.
\r\n\r\n
Interact Marketplace Product Maintenance and Support
\r\n\r\n
Erideon will be responsible for providing any\r\nmaintenance and support services with respect to the Erideon Products only, as specified\r\nin the Licensed Application End User License Agreement or the separate end user\r\nlicense agreement, as the case may be, or as required under applicable law. The\r\nApplication Provider of any Third-Party Product will be solely responsible for\r\nproviding maintenance and support services with respect to that Product, as\r\nspecified in the Licensed Application End User License Agreement or the\r\nApplication Provider end user license agreement, as the case may be, or as\r\nrequired under applicable law.
\r\n\r\n
Licensed Application End User License Agreement
\r\n\r\n
The Interact Marketplace Product or Products\r\n(collectively, \"Interact Marketplace Product(s)\") made available through the\r\nInteract Marketplace (collectively, \"Interact Marketplace Service(s)\") are\r\nlicensed, not sold, to you. Your license to each Interact Marketplace Product\r\nthat you obtain through the Interact Marketplace Service is subject to your\r\nprior acceptance of this Licensed Application End User License Agreement, and\r\nyou agree that the terms of this Licensed Application End User License\r\nAgreement will apply to each Interact Marketplace Product that you license\r\nthrough the Interact Marketplace Service, unless that Interact Marketplace\r\nProduct is covered by a valid end user license agreement between you and the Licensor\r\nof that Interact Marketplace Product (\"Custom EULA\"), in which case the terms\r\nof that separate end user license agreement will govern. Your license to any\r\nErideon Product under this Licensed Application End User License Agreement is\r\ngranted by Erideon, and your license to any Third-Party Product under this\r\nLicensed Application End User License Agreement is granted by the Licensor of\r\nthat Third-Party Product. Any Interact Marketplace Product that is subject to\r\nthe license granted under this Licensed Application End User License Agreement\r\nis referred to herein as the \"Licensed Application\". Licensor reserves all\r\nrights in and to the Licensed Application not expressly granted to you under\r\nthis Licensed Application End User License Agreement.

a. Scope of License: This license granted to you for\r\nthe Licensed Application by Licensor is limited to a non-transferable license to\r\nuse the Licensed Application on any Erideon-branded products running on\r\nInteract Foundation or Interact Live Foundation, as applicable (collectively,\r\n\"Interact Foundation\") that you own or control with valid and relevant\r\nlicensing, and as permitted by the usage rules set forth in the Interact\r\nMarketplace Terms and Conditions (the \"Usage Rules\"). This license does not\r\nallow you to use the Licensed Application on any Interact Foundation that you\r\ndo not own or control, and except as provided in the Usage Rules, you may not\r\ndistribute or make the Licensed Application available over a network where it\r\ncould be used by multiple devices at the same time. You may not rent, lease,\r\nlend, sell, transfer redistribute, or sublicense the Licensed Application and,\r\nif you sell your Interact Foundation to a third party, you must remove the\r\nLicensed Application from the Interact Foundation before doing so. You may not\r\ncopy (except as expressly permitted by this license and the Usage Rules),\r\ndecompile, reverse-engineer, disassemble, attempt to derive the source code of,\r\nmodify, or create derivative works of the Licensed Application, any updates, or\r\nany part thereof (except as and only to the extent that any foregoing\r\nrestriction is prohibited by applicable law or to the extent as may be\r\npermitted by the licensing terms governing use of any open-sourced components\r\nincluded with the Licensed Application). Any attempt to do so is a violation of\r\nthe rights of the Licensor and its licensors. If you breach this restriction,\r\nyou may be subject to prosecution and damages.
\r\n\r\n
The terms of this license will govern any upgrades\r\nprovided by Licensor that replace and/or supplement the original Licensed\r\nApplication, unless such upgrade is accompanied by a separate license in which\r\ncase the terms of that license will govern.
\r\n\r\n
b. Consent to Use of Data: You agree that Licensor may\r\ncollect and use technical data and related information—including but not\r\nlimited to technical information about your device, system and application\r\nsoftware, and peripherals—that is gathered periodically to facilitate the\r\nprovision of software updates, product support, and other services to you (if any)\r\nrelated to the Licensed Application. Licensor may use this information, as long\r\nas it is in a form that does not personally identify you, to improve its\r\nproducts or to provide services or technologies to you.
\r\n\r\n
c. Termination. The license is effective until\r\nterminated by you or Licensor. Your rights under this license will terminate\r\nautomatically without notice from the Licensor if you fail to comply with any\r\nterm(s) of this license. Upon termination of the license, you shall cease all\r\nuse of the Licensed Application and destroy all copies, full or partial, of the\r\nLicensed Application.
\r\n\r\n
d. Services; Third-Party Materials. The Licensed\r\nApplication may enable access to Erideon's, Licensor's and/or third-party\r\nservices and websites (collectively and individually, \"Services\").\r\nUse of the Services requires Internet access and use of certain Services\r\nrequires you to accept additional terms. By using this software in connection\r\nwith an Interact Marketplace account, you agree to the latest Interact Marketplace\r\nTerms and Conditions and Usage Rules.
\r\n\r\n
You understand that by using any of the Services, you\r\nmay encounter content that may be deemed offensive, indecent, or objectionable,\r\nwhich content may or may not be identified as having explicit language, and that\r\nthe results of any search or entering of a particular URL may automatically and\r\nunintentionally generate links or references to objectionable material.\r\nNevertheless, you agree to use the Services at your sole risk and that neither\r\nthe Licensor nor Erideon shall have any liability to you for content that may\r\nbe found to be offensive, indecent, or objectionable.
\r\n\r\n
Certain Services may display, include or make\r\navailable content, data, information, applications or materials from third\r\nparties (\"Third Party Materials\") or provide links to certain third party web\r\nsites. By using the Services, you acknowledge and agree that neither the\r\nLicensor nor Erideon is responsible for examining or evaluating the content,\r\naccuracy, completeness, timeliness, validity, copyright compliance, legality,\r\ndecency, quality or any other aspect of such Third Party Materials or web\r\nsites. The Licensor, Erideon, and Erideon's officers, affiliates and\r\nsubsidiaries do not warrant or endorse and do not assume and will not have any\r\nliability or responsibility to you or any other person for any third-party\r\nServices, Third Party Materials or web sites, or for any other materials,\r\nproducts, or services of third parties. Third Party Materials and links to\r\nother web sites are provided solely as a convenience to you.

Financial information displayed by any Services is for\r\ngeneral informational purposes only and should not be relied upon as investment\r\nadvice. Before executing any securities transaction based upon information\r\nobtained through the Services, you should consult with a financial or\r\nsecurities professional who is legally qualified to give financial or\r\nsecurities advice in your country or region. Location data provided by any\r\nServices is for basic navigational purposes only and is not intended to be\r\nrelied upon in situations where precise location information is needed or where\r\nerroneous, inaccurate, time-delayed or incomplete location data may lead to\r\ndeath, personal injury, property or environmental damage. No portion of the Services may be reproduced in any\r\nform or by any means.
